The transaction is expected to be completed by April 30, 1989, by which time all regulatory approvals are expected to have been received. Spencer F. Eccles, chairman and chief executive officer of First Security Se-curity Corporation, announced that First Security has reached an agreement in principle to acquire Davis County Bank and its holding company, Davis Bancorporation. Under the agreement, Davis County Bank will merge into First Security Bank of Utah, with Davis County Bank shareholders receiving receiv-ing First Security Corporation common stock. Davis County Bank, a state-chartered institution with branches in Ccntcrville, Layton and Farmington, has total deposits of 4 x4 million. ''This merger brings together two of Utah's pioneer banking families fa-milies and institutions," Mr. Eccles noted. "Davis County Bank has been a solid Davis County fixture since it was founded by Ezra T. Clark in 1892. Throughout the intervening years, the Clark family has built the bank on the same tradition tra-dition of personal service and prudent pru-dent management that has characterized charac-terized First Security." Howard S. Clark, president of Davis Bancorporation, noted that the merger with First Security would benefit Davis County Bank's customers and depositors. "With the added services we now will be able to offer, and the increased security se-curity that comes from being associated asso-ciated with the state's largest financial finan-cial institution, I believe that this is an excellent move for both our customers cus-tomers and our employees," he said. Scott Nelson, president of First Security Bank of Utah added, "lam delighted that the three branches of Davis County Bank soon will be part of the First Security Bank of Utah branch network.
