Notice Is hereby given that a special J 'mooting of the stockholders of tho Bingham Central Mining company, a Utah corporation, will be held at the principal 1 office of the company at 06 West Third I South street, Salt Lako City, Utah, on ! Salurdav. tho 12th day of June. 1909, j at 2 o'clock p. m. of said day, for tho I purpose of considering and passing upon 1 the adoption of the following changes and amendments to the articles of Incorporation Incorpora-tion of said company, to wit: 1. Bv adding to article 5 of said agreement agree-ment or incorporation the following: "Said corporation may purchase or otherwise acquire, hold, or distribute among Its stockholders. In the discretion of its board of directors, stock in any other corporation, and may convey or otherwise dispose of any or all of its property, roai and personal, In exchange for stock in any other corporation." 2. By substituting In lieu and place of the original article xl. of said articles of incorporal'on, the following: "Tho board of directors upon either previous authorization or subsequent ratification rati-fication of two-thirds of the issued outstanding out-standing capital stock, shall havo the power, right and authority to sell and transfer all the real and personal property prop-erty owned or held by said corporation, or any Interest In any real or personal property which said corporation shall have at any time or times, or contract for the sale thereof, upon such terms, covenants and conditions, and for such considerations, either in cash or in tins capital stock of any other corporation, or for both cash or stock, or for such other consideration as to the board of directors may seem reasonable and proper."
