Show NOTICE OF PUBLIC SALE Of the Property of the Utah Independent Telephone Company of Utah. Utah Independent Tclephono company, a corporation of Utah, will sell at public pub-lic auction to the highest bidder for cash at tho west front door of the City and County building, in Salt Lake City. Utah at ton o'clock a. m., on June 5, 1911, all tho property which it owns or is entitled to, except, of course. Its primary pri-mary franchlso; and will or will not sell its secondary franchises, according lo which method will bring tho larger sum. Tho following is a description of all tho property owned by this company, to wit: All property, real, personal and mixed, now owned by said company or to which it is entitled: all telephone exchanges, equipment and telephone lines, situate in the stato of Utah, and all lands, real estate, grants, ways and rights of way, licenses and easements now owned by said company or to which it Is entitled, all buildings, machinery, exchanges, motors, mo-tors, batteries, wires, tools, poles, cables and all other apparatus and conduits of whatever description and wherever situate sit-uate in the state of Utah, either now owned by said company or to which it Is entitled and all equipment and personal per-sonal property of every description now owned by said company or t.o which it is entitled. All materials, contracts, accounts, choses in action and all franchises, fran-chises, rights, privileges, immunities, licenses li-censes and things in action; all contracts, con-tracts, claims and demands, tolls and in-como in-como now owned by said company or to which it is entitled; and all other property prop-erty now owned by said company or to which it is entitled even though tho same Is not 'described herein. An inventory and detailed description of the company's property and secondary franchises will be furnished on application; applica-tion; and prospective bona fide purchasers purchas-ers may Investigate this company's affairs af-fairs at any time previous to the sale. All of tho said property will be sold without tho secondary franchises' of the company if such method will bring tho highor sum: If,' on the other hand, a larger sum ca.n bo realized by selling the property with tho secondary franchises, fran-chises, then that method will bo pursued. pur-sued. If the properly is sold with the secondary franchises then notice is hereby here-by given that tho secondary franchise from Salt. Lako City to this company is non-transferable except by the consent of the city council of Salt Lake City and reference is hereby made to section Vi. page 5C1, of tho Revised Ordinances of Salt Lake City. 190:i. And If the highest high-est bidder desires all the property together to-gether with the secondary franchises then ho must take the risk of procuring the consent of tho city council o'f Salt Lake City to tho transference of such franchlso. and this company hereby obligates ob-ligates itself to clve all the aid It can to that end. The purchaser or purchasers shall pay at least 10 per cent of tho amount of their bid at the time of maklnr the same, such payment to bo maao either in cash or by certified check on some responsible bank in Utah, and such sum shall bo forfeited to tho company as liquidated damages in case 3uch purchaser pur-chaser docs not complete tho balance of his payment. The balanco of the bid shall be paid when tho proper conveyances, assignments and transfers from this company com-pany are ready for delivery. Tho proceedings pro-ceedings of the president and secretary in making the aalo of the company's property shall bo reported back to its board of directors for confirmation bo-fore bo-fore any title shall pass. Tho person conducting the salo shall have the right to reject any bid for any of tho property prop-erty if he deems such bid unjustly insufficient in-sufficient when compared with the fair value of tho property, taking Into consideration con-sideration the fact that the property is being sold at public auction.
