District Court for Utah charging an Arizona corporation with inducing them to purchase a dental office franchise program. Brent and Garry Baker, who do business as a Utah partnership Baker & Baker, said they purchased a of America franchise from Phoenixs Health-Tec- h Management in June 1984. They contend when they were investigating purchasing a franchise that officials of Health-Tec- h represented the company was profitable and in sound financial condition and that all of that companys existing franchises were more profitable than the individual dental practices immediately preceeding them. False statements were made and material facts concealed to induce the dentists to purchase a Denta-Healt- h franchise, according to the lawsuit. Health-Tec- h was, in fact, not sound financially and had a negative cash flow. Several of the companys franchises were not paying the franchise and royalty fees and were not profitable, the suit states. Health-Tecthe lawsuit contends, failed to secure adequate office space, provide advertising and to open the Salt Lake City market for the franchises as it promised to do.
