The city will furnish to any holder of any of the bonds issued hereunder upon written request after the close of each fiscal year complete operating and income statements of the waterworks plant and system in reasonable detail covering such fiscal year; e) That the holder or holders of twenty-five per cent 25''r) in aggregate principal amounts of bonds issued hereunder at any time outstanding shall have the right at al! reasonable times to inspect the plant and system, and all records, accounts and data of the City relating thereto, there-to, and 4hat upon request the City will furnish to twenty-five per cent (25rr) of such holders such financial statements and other information relating to the City and the waterworks and system as such holder or holders hold-ers may from time to time reasonable rea-sonable require; f That the City in its operation oper-ation of the waterworks plant and system will carry fire in-sura.ice, in-sura.ice, workmen's compensa-, compensa-, tion insurance and public liability lia-bility insurance, in such amounts and to such extent as is normally normal-ly carried by similar corporations operating public utilities of the same type. The cost of such insurance in-surance shall be considered one of the operating costs of the system. sys-tem. In the event of loss or damage, dam-age, insurance proceeds shall be used first for the purpose of restoring re-storing or replacing the property proper-ty lost or damaged, and any remainder re-mainder shall be paid into the "Cedar City, Utah, Waterworks Revenue Bond Sinking Fund" and shall be subject to distrinu-l tion in the same manner as are other moneys in said fund; (g) That 'the City will not sell, lease, mortgage or in any manner man-ner dispose of said plant any system, or any part thereof, including in-cluding any and all extensions anl additions that may be made thereto, until all the bonds herein here-in authorized to be issued shall have been paid in full, both principal and interest, except that the City may sell any portion of said property which shall have be?n replaced by other property of at least equal value, or which shall cease to be necessary for the efficient operation of said system, provided, however, that in the event of any sale as aforesaid afore-said the proceeds of such sale shall be paid into the "Cedar City, Utah. Waterworks Revenue Bond Sinking Fund" and Distributed Dis-tributed as are other moneys In said fund; (h) That In the event of default de-fault on the part of the City in paying principal of or Interest on said revenue bonds promptly as each falls due. or In the keeping; keep-ing; of any covenant herein contained, con-tained, and if such default shall continue for a period of sixty (GO) days, the City will appoint a manager for said plant and system, which manager shall, have full control over said plant and system and shall operate said plant and system for Cedar City, and Fhall enforce such reasonable rea-sonable ratfs and charges as will be sufficient to make the payments pay-ments required by this ordinance, and shall in all things so operate oper-ate said plant and system as to fully comply with all of the requirements re-quirements and provisions of this ordinance. Section. 5. That the bonds authorized auth-orized to be issued hereunder and from time to time outstanding outstand-ing shall not be entitled to any priority one over the other in the application of the revenues of said plant and system, regardless regard-less of the time or times of their issuance, it being the intention of the City Council that there shall be no priority among the bonds authorized to be issued pursuant to this ordinance. Section 6. That Cedar City hereby expressly covenants and agrees that the City will not hereafter issue any bonds or obligations ob-ligations payable from the revenues reve-nues of the waterworks plant and system until all bonds herein authorized, both principal and interest, have been paid in full, unless such additional bonds are issued in such manner that they are in all respects subordinate to the bonds herein authorized and in such manner that the lien !of the bonds herein authorized on the revenues of said plant and system herein pledged to the payment of said bonds is not in anywise affected or impaired. im-paired. Section 7. That the provisions of this ordinance shall constitute a contract between the City and the holders of the bonds herein (authorized to be issued and that after the issuance of such bonds no change, variation or alteration altera-tion of any kind in the provisions provis-ions of this ordinance shall be made in any manner until such time as all of the said bonds issued hereunder and interest due thereon have been paid in full. Section 8. That if any section, paragraph, clause or provision of this ordinance shall he held to be Invalid, or unenforceable for any reason, the invalidity or unenforceability of such section, paragraph, clause or provision shall not affect In any way any of the remaining provisions of this ordinance. Section 9. That all ordinances, resolutions and orders, or parts thereof, in conflict with the provisions pro-visions of this ordinance are, to the extent of such conflict, hereby here-by repealed. Section 10. That the proceeds from the sale of the bonds herein here-in authorized shall be placed in a fund separate and apart from all other City funds and shall be paid out solely for the purpose for which said bonds are herein here-in authorized, insuch manner as shall be acceptable to the Mavor and City Council of the City a'nd o the original purchasers of the bonds. The moneys are to be released from the special account or accounts only upon authorization authoriza-tion by the City Council. Such moneys may be used for the payment of interest on said bonds during the period of construction con-struction of the Improvement heretofore authorized In this ordinance. or-dinance. Upon completion of the construction of the Improvements and betterments to the waterworks water-works plant and system, any unexpended un-expended balance In such account ac-count or accounts shall be paid Into the "Cedar City, Utah. Waterworks Revenue Bond Sinking Sink-ing Fund" herein provided for and used for the purpose of said fund. Section 11. That an emergency is hereby declared and that Immediately Im-mediately after Its adoption this ordinance shall be signed by the Mayor and the City Recorder, shall be recorded In a book kept for that purpose, a id shall be published In the Iron County Record, a newspaper published and having a general circulation circula-tion In Cedar City.
