To tho Stockholders of the Rio Grands ' Western Railway Company: Notice Is iiereby Riven that a special meeting of tho stockholders of the Rio Grande Western Railway Company will be held at the principal office of the company com-pany in the Judge building, at Salt Lake City, Utah, upon lUandr.y, the 20th day of July, 1908. at two o'clock p. m. for the purpose of considering and voting upon a proposition for the consolidation of the Denver & Rio Grande Railroad Company and the Rio Grande Western Railway Company and their capital stocks railroads, franchises and other properties and Interests under the laws of the State of Colorado and tho laws of tho State of Utah, thereby uniting the properties and concerns of said two companies In one organization, and. by Joining said two corporations together, creating a now consolidated con-solidated corporation which will be distinct dis-tinct from said constituent corporations and from each thereof; and for tho purpose pur-pose of considering, and voting for tho adoption or rejection of, an agreement for riuch consolidation made hi writing by tho directors of both of said companies under dato of Juno 9, 190S. and by them to bo submitted In writing to said meeting, which set3 forth the terms, manner and' effect of such proposed consolidation; also for the purpose of considering and voting upon any substituted or modified proposition proposi-tion and agreement for such consolidation which at the time of said meeting may bo duly submitted thereto In writing by the i directors of both of the said companies which it Is proposod so to consolidate, and for the purposo of taking any lawful ac-I ac-I lion In relation to such proposod consolidation, consoli-dation, or Incidental thereto, as may by the stockholders at such meeting bo deemed necessary or desirable. The transfer books for the transfer of stock of the company will close with tho closo of business on Monday, the 22d day of Juno, 190S, and reopen on a.dute to bo 1 fixed by the Board of Directors not earlier than the 24th day of July. 1903.
