Show Notice and Call for Special Meeting of the Members of Moon Lake Electric Association, Inc. Notice is hereby given that a special meeting .of the members of the Moon Lake Electric Association, Inc. , will be held Wednesday, July 11, 1956, at the Uintah High School at Vernal, Uintah County, State of Utah, at the hour of 10 o'clock a.m. for the following purposes: To amend the Amended Articles of Incorporation as follows: - a) A. Paragraph (3), Subparagraph (g) of the Articles of Incorporation, as amended, shall be amended to read: "With principal place of business at Vernal, Uintah County, State of Utah." B. Paragraph (3X Subparagraph (g) of the Articles of Incorporation, as amended, shall be amended to read: "With principal place of business at Roosevelt, Duchesne County, State of Utah." V (II) To amend the Amended By-Laws of the Cooperative as follows: A. Article III, Section 1, of the amended By-Laws of the Cooperative, as amended, shall be amended' to read: "The annual meeting of the members shall be held on the first Saturday in February of each year, beginning be-ginning with the year of 1957, at such place in Vernal, Uintah County, State of Utah, as shall be designated designat-ed in the notice of the meeting for the purpose of electing directors, passing upon reports for the previous fiscal year and transacting such other business as may come before the meeting. If the day fixed for the annual meeting shall fall on a legal holiday, such meeting shall be held on the next succeeding business day. Failure to hold the annual meeting at the designated time shall not work a forfeiture or dissolution , of the Cooperative." . ' -B. Article III, Section 1, of the Amended By-Laws of the Cooperative as amended shall be amended to read: "The annual meeting of the members shall 4e held on the first Saturday in February of each year, beginning be-ginning with the year 1957, at such place in Roosevelt, Duchesne County, State of Utah, as shall be designated de-signated in the notice of the meeting for the purpose of electing directors, passing upon reports for the previous fiscal year and transacting such other business as may come before the meeting. If the day fixed for the annual meeting shall fall on a legal holiday, such meeting shall be held on the next succeeding succeed-ing business day. Failure to hold the annual meeting at the designated time shall not work a forfeiture or dissolution of the Cooperative." C. Article V, Section 1, of the Amended By-Laws of the Cooperative, as amended, shall be amended to read: "A regular meeting of the Board of Directors shall be held without notice other than these By-Laws immediately after, ami at the same place as the annual meeting of the members. 'A regular meeting of the Board of Directors shall also be held monthly at such time and place in Vernal, Uintah County, State of Utah, as the Board of Directors may provide by resolution. Such regular meetings may be held without notice other than such resolution fixing the time and place thereof. D. Article V, Section 1, of the Amended By-Laws of the Cooperative, as amended, shall be amended to read: "A regular meeting of the Board of Directors shall be held without notice other than these By-Laws immediately after, and at the same place as the annual meeting of the members., A regular meeting of the Board of Directors shall also be held" monthly at such time and place in Roosevelt, Duchesne County. State of Utah, as the Board of Directors may provide by resolution. Such regular meetings may be held ' without notice other than such resolution fixing the time and place thereof. E. Article V, Section 2, of the Amended By-Laws of the Cooperative, as amended, shall be amended to read: "Special meetings of the Board of Directors may be called by the President or by any three Directors, and it shall thereupon .be the duty of the Secretary to cause notice 'of such meeting to be given as hereinafter here-inafter provided. The president or the directors calling the meeting shall fix the time and place for the hblding of the meeting." F. Article III, Section 2, of the Amended By-Laws of the Cooperative, as amended, shall be amended to read: "Special meetings of the members may be called by resolution of the Board of Directors or upon a written request signed by four directors, by the president, or by fifty-one percentum (51) or more of all the members, and it shall thereupon be the duty of the Secretary to cause notice of such meeting to be given as hereinafter provided. Special meetings of the members may be held at any place within the states of Utah 5nd Colorado, unless same is prohibited by law, the Articles of Incorporation or these By-Laws. (Ill) To consider any other business which may come before said meeting.
