Show Special Meeting Notice is hereby given tha a special meeting of the Stockholders Stockhold-ers of the Oasis Seed Plant, an agricultural ag-ricultural cooperative, organized under the laws of the State of U-tah, U-tah, has been called and will be held at the A. C. Nelson School Building in Oasis, Utah, on March 15, 1944 at 8:00 p. m., for the purpose pur-pose of considering and acting upon up-on a proposal to amend the Articles of Incorporation of the Company in the following particulars: To amend Article II so as to further fur-ther the purposes of the Association Associa-tion in that such Association will be enabled to engage in the business busi-ness of marketing on behalf of its members and patrons of all commonly com-monly grown agricultural products, and to buy for its members and patrons pa-trons supplies and equipment, provided pro-vided that it shall not deal in the products of non-members in excess of that handled by it for members. To amend Article IX so as to provide pro-vide for an Association agreement, vide for an Association marketing agreement, membership fees, and other regulatory provisions. To amend Article X so as to increase in-crease the Common Stock to a limit of one thousand (1,000) shares with no par value, and to provide for Preferred Stock not to exceed five hundred (500) shares with par value val-ue at fifty dollars ($50.00) per share, and to further provide for the basis upon which said shares of Common and Preferred Stock shall be issued and held. To amend Article XIV so as to empower the Board of Directors to create or abolish reserves, to make uniform deductions, to distribute patronage dividends; and to grant the Board of Directors further supervisory su-pervisory powers. To amend Article XV so as to provide that the property right of Stockholders shall be in proportion to the total amount of seed and other agricultural products furnished fur-nished by such stockholders. To amend Article XVI so as to provide for the mutual benefit of its members and further to provide that the savings of the Association be distributed on a patronage basis bas-is to Common Stockholders and Patrons Pa-trons alike. To amend Article XX so as to provide that the books and accounts ac-counts of the Association be open to inspection of Stockholders at reasonable times. To include Article XXI so as to provide for the adding of subsequent subse-quent amendments to the Articles of Incorporation. To include Article XXII to read as follows: These amended Articles of Incorporation In-corporation are agreed to and a-dopted a-dopted in pursuance of the provisions pro-visions of the Agricultural Cooperative Coop-erative Associations Act of the State of Utah, and for the transaction of such other and further business as directly di-rectly connected with or related to the foregoing proposed amendments, amend-ments, as may properly come before be-fore said meeting.
