Salt Lake City, Utah, June 11 igos To the Stockholders of the Rio ' Grand Western Railway Company: Notice ts tiereby given that a special meeting of tho stockholders of the Rio Grande Western Railwav Company will be held at the principal office of the company com-pany ln the Judge building, at Salt Lake City, Utah, upon Mondty, the 20th day of July, 1908. at two o'clock p. m for the purpose of considering and votlne upon a proposition for the consolidation of the Denver & Rio Grande Railroad Company and the Rio Grande Western Railway Company and their capital stocks railroads, franchises and other properties' and interests under the laws of tho State of Colorado and the laws of tho Slate of Utah, thereby uniting the properties and concerns of said two companies In one organization, and, by Joining said two corporations togethor, creating a new con solldated corporation which will bo dls' tlnct from said constituent corporations and from each thereof; and for the nur J503B of considering, and voting for the adoption or rejection of, an agreement for such consolidation made In writing by the directors of both of said companies under date of June 0. 1908, nnd by them to bo submitted in writing to said meetlntr which beta forth the terms, manner and effect of such proposed consolidation also for the purpose of considering nnd votlne upon any substituted or modified proposition proposi-tion and agreement for such consolidation which at the time of said meeting mar bn duly submitted thereto In writing by tho directors of both of tho said companies which It is proposed so to consolidate, and for the puipo.se of taking any lawful action ac-tion In relation to such proposed consolidation, consoli-dation, or Incidental thereto, as may by the tockhoIdcr3 at such meeting be The transfer books for the transfer of slock of the company will close with the close of business on Monday, the 22d day of June. 1908. and reopon on a date to bo fixed by the Board of Directors not earlier than the 2-lth day of July, 1008.
