Show said transaction and the Project; stating the pledge of the State of Utah under Section 11-17-13, Utah Code Annotated 1953, as amended; directing that true copies of this Resolution, the Lease and Agreement, the Indenture, the Bond Purchase Agreement and the Guaranty Agreement pursuant to which payment of the Bonds will be guaranteed by American Stores Company, Com-pany, a Delaware corporation, cor-poration, be filed with the Cedar City Recorder; approving and ratifying all acts heretofore taken with respect to the Bonds and the Project; approving ap-proving the form of and directing the publication of a Notice of Bonds To Be Issued; repealing resolutions or portions thereof in conflict with said Resolution and authorizing and approving ap-proving any and all other matters and actions necessary or incidental to the foregoing matters, transaction and Project; and related matters. City Council in the City Council Room at 43 North 300 West Street, Cedar City, Utah, ( commencing at 6:00 o'clock, p.m., on Thursday, Thur-sday, August 20, 1981. The Agenda for the meeting consists in part of the following: Opening Prayer. Approval of Minutes. Consideration and adoption of a Resolution authorizing and providing for the issuance and sale by Cedar City, Iron County, Utah of its Industrial Development Revenue Bonds (Skaggs Companies, Com-panies, Inc. Project) in the principal amount of Three Million Dollars ($3,000,000) (the "Bonds'') "Bond-s'') for the purpose of paying all or part of the cost of acquiring and constructing a commercial com-mercial shopping facility for the general public (including, without limitation, the land therefore, building and improvements, and related fixtures and personal property) (the "Project") and leasing the Project (with options to purchase) to Skaggs Companies, Inc., a Delaware corporation (the"Company"); , prescribing the form of the Bonds . and authorizing the manner of their sale, execution and delivery; approving and authorizing the execution of a Lease and Agreement (the ''Lease and Agreement") bet-, ween Cedar City and the Company for the lease of the Project to the Company; approving and authorizing the execution of a Mortgage and Indenture In-denture of Trust (the "Indenture") between Cedar City and First Interstate Bank of Utah, as Trustee, pursuant to which the Bonds will be issued and secured; approving and authorizing the execution of a Bond Purchase Agreement (the "Bond Purchase Agreement")' between Cedar City and Nationwide Mutual Insurance In-surance Company, an Ohio corporation,' Columbus, Ohio, pursuant pur-suant to which the Bonds will be purchased from Cedar City; appointing ' First Interstate Bank of Utah as Trustee under the Indenture and as Bond Registrar and Paying Agent; approving and authorizing the execution of a letter from Cedar City to the Internal Revenue Service electing to have the provisions of Section 103 (b)(6)(D) of the Internal Revenue Code of 1954, as amended, apply to said issue of Bonds; authorizing the execution of said Bonds and all other certificates and documents, including I the acceptance of an I Inducement Letter from i the Company, and the I performance of all acts I and other matters re- S quired in connection with 1 NOTICE OF PUBLIC HEARING ON IRON COUNTY MASTER PLAN MAP AND ZONING MAP, AND CONTINUATION OF PUBLIC HEARING ON IRON COUNTY MASTER PLAN, ZONING REGULATION AND SUBDIVISION ORDINANCE NOTICE IS HEREBY GIVEN that the Board of Iron County Commissioners Com-missioners will meet on Monday, August 17, 1981, at the hour of 10 o'clock a.m., in the Commission Chambers of the Iron County Courthouse, Parowan, Utah, then and there to consider for. approval the Iron County Master Plan Map and Iron County Zoning Map, both prepared and certified cer-tified to the Iron County Commission by the Iron County Planning Commission, Com-mission, together with a continuation of a meeting for the approval of the' Iron County Subdivision Ordinance; such meeting continued from a public hearing on July 13, 1981.
