Deseret Officials Look on Offer Favorably Deseret Pharmaceutical A officials endorsed an offer last week from Warner-Lambeto sell all the company's outstanding stock for $110.2 million. Its the best damn offer in ten years, exclaimed Deseret chairman and executive vice president Victor Cartwright. The Sandy based surgical supply company has received similar offers over the past ten years, Cartwright said, but never had such a viable offer been received. rt Deserets seven member board of directors approved the offer unanimously and urged the firms 3,000 stockholders to tender their shares for the $38 offer. Warner Lambert has proposed to purchase Deserets stock through a wholly owned subsidiary, W-- Inc. L, spokesman for Warner-Lambesaid if the company acquires a majority interest in Deseret, it will try to buy any remaining shares at $38 per share or convert outstanding shares into Warner-Lambeoptions and merge Deseret into Warner-Lambeby April 1. Deseret would then continue as a rt rt rt division of Warner-Lambe- rt Pharmaceutical group under Parke-Davia wholly owned subsidiary of Warner-Lamber- t. s, Under terms of the agreement, chairman Cartwright would receive an annual salary of $80,000 a year on a three year contract. Company president Dale Ballard would receive a five year contract of $90,000 a year. Both executives would remain with Deseret.
