be it enacted by the governor arid and ithai legislative assembly of the territory of utah that orson hyde george A smith edson whipple leEvan evan M green carter edson barney and david canfield with their associates and successors be and are arc hereby constituted a body cor corporate orate for the term of fifty years by the name ant and style of the provo manufacturing company and by that name shall be capable of suing and being sued defending and being defended in all courts courtis and places and in all manner of actions causes and complaints whatsoever may have a common seal which they may use and alter at pleasure and by their corporate name may purchase hold bold use and convoy convey property real and personal may make all necessary contracts for carrying on the business of the company and do all al other acts necessary or expedient in the sive stages and opera operations lions of the company not inconsistent with the constitution and laws of the united states or of this territory SEC 2 the capital stock shall not exceed one million of dollars the stock to be divided into shares of fifty dollars dollan each and transferable on oil the books of the company in such manner as the bye laws shall ordain but no transfer shall be valid until it shall have been registered in the books of the company kept for that purpose S 3 at all aeeti meetings of the stockholders each share of stock actually prithi paid in shall bo be entitled to one vote arher in person or by proxy in i mg ing i and a majority ity of votes present shall determine all questions submitted by the Stock stockholder holdem SEC 4 the annual meeting of the stockholders shall be held on the second monday in october at which meeting the hie directors of the company shall be e acted and all oher coher business deemed necessary by he stockholders and should they full fail of electing di actors at the taie annual meeting they may hold a special meeting at some subsequent time for the purpose by giving thirty days notice in some newspaper of general general circulation or a written notice posted in three of the most public places in utah county the directors shall hold their offices until their successors are chosen and qualified but no person shall be a director after ceasing to be a stockholder immediately after the election tile directors shall elect one of their number president of governor and legislative assembly of the Terii territory tory of utah that all that district of country emu embraced raced in the following boan boundaries daries to wit beginning at a point one and three fourth miles north of the centre of the public square in springville Spring ville precinct thence easterly and southerly along the base of the mountain to the east corner of the present reseat springville Spring ville survey thence west to ME utah lake thence northerly along the shore of the take lake to a point due west of the place of beginning thence east to the place of beginning shall be known and designated under the nam and style of springville Spring ville and aa the inhabitants thereof axe are hereby constituted a body corporate and politic by the name aforesaid and shall have perpetual succession and may have and use a commora seal which they may change and alter at pleasure sec 2 the inhabitants of said city by the name and style aforesaid shall have power to sue and be sued to plead and be im pleaded to defend and be defended in all courts of law and equity and in all actions whatsoever to purchase Tec receive elve and hold held property real and personal in said city and to purchase receive receive and hold real property be beyond ond the city for burying grounds or other alic plic public pap purposes oses for the use use of the inhabitants of said city to persons see sec 3 there shall be a city council to consist of a mayor four aldermen and nine coun colors who shall iball have the qualifications of electors of said city and shall be chosen by the qualified voters there thereof and shall hold their office for two years and until their successors shallie shall be elected and qualified the city council shall judge of the qualifications elections and returns of their own members and a majority of them shall form a quorum to do business but P a smaller number may adjourn from day to day and compel the attendance of absent members I 1 under such aldermen and nino nine councilors councillors counci lors ahyat and at the first election under this ordinance three judges shall bo be chosen viva voce by the electors present the said judges shall choose clerks and the judges and clerks before inter bering upon their duties shall take and subscribe 1 an oath or affirmation such as is required by law to be taken by judges and clerks of other selections elections and at all subsequent elections the necessary number of judges and clerks shall be appointed by the city council at the first election so held the polls shall be opened at nine A M Y and closed at six P M x at the close of the polls the votes shall toe be counted and a statement thereof proclaimed at the front door of the house at which said election shall be held and the clerks shall leave with each person elected or at his usual place of residence within five da days s after the election a written notice of his e election f edtion and each person so notified fied white male inhabitants who are of the agre age of eighteen years who are entitled to vote vote for territorial officers and who shall have been actual residents of said city sixty days next preceding said election shall be entitled to vote for city officers see sec 7 the city council shall have authority to levy and collect taxes for city purposes upon all taxable property real and personal within the limits of the efty not exceeding one per cent per annum upon the assessed value thereof and may enforce the payment of the same in any manner to be provided by ordinance not repugnant to the constitution of the L united states or the laws of this territory see sec 8 the city council shall have power to appoint a recorder treasurer assessor and collector marshal and supervisor of streets they shall also have the power to appoint al all such other officers by ordinance as may be necessary define the duties of all city officers and remove them from office at pleasure sec 9 the city council shall have power to require of all officers appointed in pursuance of this ordinance bonds with penalty and security for the faithful performance of their respective duties such as may be deemed expedient and also to require all officers appointed as aforesaid to tako take an oath for the faithful performance 0 of f ithe the duties of their respective offices see sec 10 the city council shall have power and authority to make ordain establish and execute all such ordinances not repugnant to the constitution of the united states or the laws of this territory as they may deem necessary for the peace benefit good order re regulation 9 ula convenience and cleanliness of said city for the protection of pro property arty therein from destruction st by fire or otte otherwise berwise and for the health and happiness thereof they shall have power to fill alt all vacancies that may happen by death resignation or removal in any of the offices herein made elective to fix and establish all the fees fee of the officers of said corporation not herein established to impose such fines not exceed exceeding ina one hundred dollars for each of fence as t they may deem just for refusing to accept of any office in or under the corporation or for misconduct therein to divide the city into wards and specify the boundaries thereof and create additional wards to add to the burn nurn number of aldermen and councilors councillors Counci lors ind and appo apportion orion t them among the several wards as may be just and most conducive to the interests of the city see sec 11 to establish support and regulate common schools to borrow money on the ore ere dit of the eity provided that no sum sain or sums of money be borrowed on a greater interest than six per cent per annum and pipes and erect p pumps in in the streets for the extinguishment diat of fi fires and convenience of the inhabitants see sec 16 to open alter widen extend establish grade pave pa ve or otherwise improve and keep in repair streets avenues 1 lanes anes arid and alleys and to establish erect and keep in repair aqueducts and bridges see sec 17 to provide for the lighting of the streets ani erecting lamp posts and establish support and regulate night watches to erect market houses establish sli markets and market places and provide for the government and regulations gu lations thereof see sec 18 to provide for erecting 0 all needful buildings for the use of the city and and for enclosing clodin improving and regulating all public grou grounds 2 s belonging to the city see 19 to license tax and regulate auctioneers merchants and retailers grocers and taverns ordinaries hawkers pedlars ped lars brokers pawn brokers and money changers see sec 20 to license tax and regulate hack ing carriages wagons carts and drays and fix the rate to be charged for the carriage of persons and for wag also anage cartage and drayage of property as also to license and regulate porters and fix the rates of sec 21 to license tax and regulate theatricals and other exhibitions shows and amusements amuse meats sec 22 to tax restrain prohibit and suppress tippling houses dram shops gaming houses bawdy and other disorderly houses sec 23 to provide for the prevention and extinguishment of fires to regulate the fixing of bimone y and the flues floes thereof and stove pipes and to organize and establish fire companies see sec 24 to regulate the storage of gun powder tar pitch resin and other combustible materials see sec 25 to regulate and order parapet walls and other partition fences see
