BEING FORMED Returning last week from a special spec-ial mission to California, where he made an entensive study of co-operative marketing associations, Timothy Timo-thy Brownhill this week presented his report to the Southern Utah Marketing Mar-keting association, on behalf of which the trip was made. While in California, Mr. Brown-hill Brown-hill had a long conference with Free N. Bigelow, State Market Director, who is undoubtedly the best informed inform-ed man on co-operative associations of growers in the world, for California Califor-nia organizations of this kind in the formation of which Director Bigelow has been chiefly instrumental, have reduced the operation of growing and marketing farm products to an exact science. There is not an agricultural agri-cultural industry of any commercial importance in that State which is not thoroughly organized, competently managed, and profitably operated. Mr. Brownhill speedily found that owing to the wide difference between Utah and California in conditions governing farming operations, the best the Southern Utah Marketing Association could hope to accomplish at this time is an adaptation of the California marketing systems to the present needs of Southern Utah. Accordingly Ac-cordingly with his report he has sub-mitted sub-mitted a complete working plan, including in-cluding constitution and by-laws, for the organization of the association now formed in Millard, Beaver, Iron and Washington counties. This plan is submitted as the result of M,r. Brownhill's painstaking study and is intended to serve as a basis for the d'iscussion and work of the members of the association at the meeting of the Southern Utah Marketing Association, Asso-ciation, which it is expected President Presi-dent Wilford Day will call within a few days To Hon. "btained from said interviews, lei-'ers. lei-'ers. pamphlets, articles of agreement nd incorporation, by-laws, etc.. we 'spectj'ully submit for your consifl- ration the lollowing facts. First: That without exception we re urged to slart our co-operative i inrketing association but only on ; moderate scale, and consistent with ound business principles. Second: That we cleavoi for the time at least, to the marketing of alrv and poultry products only. Third: That, aside from poultry nd dairy products, each branch of ' irm industry should maintain its wn particular marketing agency; I hat is to say, that cattlemen, hog i rowers, wool growers, potato grqw-i grqw-i rs. truck growers, etc.. should not attempt to merge their varied Interests, Inter-ests, but should organize as their re- oective interests demand. Fifth: It is recommended by Dr V. S. Beaver. Iron and Vashiugtor counties of the Stale of Utah and of the United States of America ( do hereby associate ourselves together for the purpose of meeting together, talking together, working together selling together and buying together, and, in general actink together for our mutual protection and advancement advance-ment as the occasion may require; and for these purposes dn hereby adopt and subscribe to the following: COXSTITUTIOX Article 1. The name of this association asso-ciation shall be the Southern Utah Marketing Association, and its principle prin-ciple place of business shall be at , Utah. Article 2. The purpose of this association as-sociation shall be to unite the farmers far-mers of Millardi. Beaver. Iron and Washington counties. Utah that thev as a unit may promote the general welfare of the dairv. noultry and other farm industries in the territory terri-tory mentioned. Article 3. Every citizen of good character in sa.'d M.illard. Beaver, Iron and Washington counties, interested inter-ested in the nromotion of said industries indus-tries is eligible to membershin on the payment of a fee of five dollars and the signing of the Constitution and By-Laws. Article 4. This association shal; bo governedi by a hoard of fifteen directors, di-rectors, who shall be members of the association, and shall he chosen as follows: three from each of the four counties mentioned and three at large. Said board of directors to have its regular organization, sonsisting of a nresident. a vice president, a secretary, a. treasurer, and a. general mannirer. all of whom shall also be Hie regular officers of the association. Article 5. The board shall bo ected by a majority ected by aaar rar ected by a majority vote of the members of the association present at the regular meeting of the asso- ciation to lie held the second Tues day in January of each year Article 6. The board shall have vested in it the power to act for and in behalf of the association upon al". -.hjects and business pertaining the association. Article 7. Th's constitution may he amended by the majority vote the members present at any regular or special meeting called for the purpose, pur-pose, providing that due notice has been given. BY-LAWS Section 1. Duties of the Officers A. The president shall preside over ov-er all meetings of the association and of the board, of directors, call meetings of the board and special meetings of the association. B. The vice president shall perform per-form the Hntifxs nf the nresirlenf when the latter is absent, declines or :s unable to perform the duties of his office period. C. The secretary shall keep a re-"ord re-"ord of all meetings, send out a notice no-tice of all meetings, collect all fees "iue the association, turning them ov-t ov-t to the treasurer, taking his receipt 'or the same period D. It shall be the duties of the 'reasurer to receive all moneys and -redits from the secretary, giving his receipt therefor, to make all disbursements dis-bursements of the associating by or-'er or-'er of the board of directors, exc- . !n the case of an emergency bill, not 'o exceed $10.00, which he mav have lower to pay and have the hill passed pas-sed on at the next board meeting. The manager shall have -barge, under the direction and supervision su-pervision of the board of dir"rs of 'he business of the association, the ?athering, grading and nacking o the products to be shipped, and sha". be held responsible for- the proper -marketing of the commodities place in his care by members of the association asso-ciation and the financial returns therefor; and. taking office shall he reouired to furnish a good and sufficient suffi-cient bond in twice the sum of the value of the products that mav go through his hands. Said manager, however, shall not. under any circumstances cir-cumstances obligate the association in any sum exceeding $ . without first obtaining the consent, in writing, of the board of directors. Section ? It shall be the dutv of the board to direct, the financ'al and business affairs of the association, arrange for the most efficient marketing of their products, promote cow testing associations', as-sociations', arrange for bull associations, associa-tions, and importations and selling of dairy stock; poultry culling and introduction in-troduction of pedigreed laying and breeding stock; purchase of supplies etc. Section 3 The board shall also appoint a committee of five active and well informed in-formed members to act as a hoard or arbitration to adjust difficulties and complaints of members of the association. asso-ciation. 'products available for market in the four counties make an investigation of the markets, and fix a percentage price on the net sales to cover cos: of grading, packing, transportation and marketing, and to create a sinking sink-ing fund for emergencies, and this, percentage shall lie deducted from the commission to be charg-'d for the purchasing of grain and other supplies sup-plies am! shall collect s:ime at the time of delivery of the goods to the puri haser.
