Show NOTICE OF ANNUAL MEETING OF THE STOCKHOLDERS OF THE DELTA CANAL COMPANY, A UTAH CORPORATION. AND THE BUSINESS BUSIN-ESS TO BE TRANSACTED AT SAID MEETING NOTICE is hereby given that the Annual Meeting of the Stockholders Stock-holders of the Delta Canal Company, Com-pany, a corporation, will be held on Tuesday, the 15th day of January, Jan-uary, 1952, at the hour of 12 0-'clock 0-'clock noon, at the Sutherland Ward Hall, R. F. D., Delta, Utah, for the following purposes: 1. To hear the Annual Report of the Secretary and Treasure. Treas-ure. 2. To elect a Board of five Directors. Di-rectors. 3. To hear, consider, and vote upon a proposal, heretofore recommended toy the stockholders stock-holders at the Annual Meeting Meet-ing held January 16, 1951, to amend the Articles of Incorporation Incor-poration of the company, as follows: (a) To amend Article IX of the Articles of Incorporation to read as follows: ARTICLE IX: The number and kind of officers of said corporation shall be as follows: A Board of five (5) Directors, a President, a Vice-President, a Secretary Sec-retary and a Treasurer. The office of Secretary and Treasurer may be held by one person. In order I to be eligible to an office in this i corporation, except that of Secretary Sec-retary and Treasurer, the holder shall be the owner, as shown by the stock book of this company, of at least one (1) share of the capital stock thereof. The term of office of the Directors in said corporation, except those first elected pursuant to this amendment, amend-ment, shall be for two (2) years, and until their successors shall be duly elected and shall have qualified. qual-ified. All officers shall hold office until their successors have been duly elected and shall have qualified. qual-ified. At the Annual Meeting of the stockholders to be held on the third Tuesday of January, 1953, there shall be elected three (3) Directors to hold office for a tern, of two (2) years, and two (2) Directors to hold office for a period per-iod of one (1) year. Thereafter, at each annual election, the successors suc-cessors to the Directors whose term shall expire in that year, shall be elected to hold office for a term of two (2) years. There shall be held on the third Tuesday in January of each year, beginning with the year 1953, at 1 o'clock p. m. of said day, at the office of the company at Delta, Utah, an Annual Meeting of the Stockholders of this corporation for the election of the members of the Board of Directors whose terms shall have expired in that year, and for the transaction of such other business as may lawfully come before said meeting. The Board of Directors of the corporation corpor-ation shall elect the other officers of the corporation and such officers offic-ers shall hold office during the pleasure of the board. Any officer may resign by filing a written resignation re-signation with the Secretary of the company, or in case of the resignation resign-ation of the Secretary, with the President or Vice-President of the company. Any Director may be removed by a majority vote of the capital capi-tal stock of this corporation at a meeting called for that purpose at which at least two (2) weeks notice shall have been given by personal service, or by mail to the addresses of each stockholder, as shown by the books of the company, and by advertisement once each week for at least two weeks in some newspaper published publish-ed at the town or city where the present place of, business is located, locat-ed, or in case no such newspaper is published in such city or town, then in a newspaper having a general gen-eral circulation therein, and the successors to those Directors removed re-moved shall be chosen at the same meeting. 4.
