(x) Iai when issued (wt) war- Paxf 19 11 the meeting was to explore the possibility of finding out if a bank might be purchased for two of his wealthy clients. He wasn't sure of the date of the Alta Club meeting but did recall they had had "three drinks apiece and I was late for a date. Under Mr. Berman said, I do not recall even mentioning El Paso at that meeting. Later Mr. Berman said he was absolutely certain" he made no statement to Mr. Klas regarding El Paso or its postion on the legislation at this meeting. He further held it would be an absolute lie to say he had offered Mr. Klas anything regarding this legislation. Mr. Berman said he had represented El Paso since about March 1 as part of his law practice specializing in antitrust action. Hp said he considered El Paso a relatively insignificant client, having billed it for only 31 hours of work over the last four and a half months at the rate of $65 an hour. When Mr. Holbrooks name was brought up. Mr. Berman said he was a fine gentleman a prominent Democrat and I think hts only interest was to spare some people he was very fond of from some public embarrassment. He also volunteered that Wayne Owens, administrative assistant to Sen. Moss, was very interested in the affair and said he wanted to know whether it could be passed off as a joke or misunderstanding. Mr. Berman said he had been chairman of a recent fund raising dinner for Mr. Owens, a possible congressional candidate, and Mr. Klas had become upset over the way he was introduced and said he would get me. Berman and I had discussed the El Paso case many times before. Mr. Berman then said something to the effect . . . And we are going to beat the hell out of you on the Magnuson bill. I again responsed in a similar vein to the effect . . . That mav be the case', or You may be right. Mr. Berman then asked if El Paso had no banking relationships with Continental Bank. I said that El Paso had no banking relationships with our bank, that about six years ago I had tried unsuccessfully to develop a relationship with El Paso and had subsequently abandoned tnis effort. Mr. Berman then said something to the effect that he could be helpful in getting a deposit from El Paso. Inasmuch as most of our corporate static or dormant deposits are in a range of $10,000 to $25,000, I responded by saying that a $25,000 deposit wouldnt mean a thing to our bank. Mr. Berman responded that the deposit he was talking about would be $100,000, interest free. My response was, No way, Dan, no wa; Under cross examination by Sen. Mr. Klas said, I considered it a serious offer. He also disclosed that Phillip Cowley, a Salt Lake attorney and former administrative assistant of Sen. had suggested Frank E. Moss, the easiest way out was for him to say the offer of $100,000 was a joke. Mr. Cowley was described as his attorney. Next person to testify was Mr. Higgins, executive vice president of Continental Bank who was at the Alta Club session with Mr. Klas and Mr. Berman. Mr. Higgins said that after discussing some banking business he heard Mr. Berman say to Mr. Klas: John, you are on the wrong side of the fence in the El Paso case, and John replied somethihg to the effect, Maybe, but I dont think Well, your Mr. Berman replied, so. side is going to get beat anyway, and John again replied, Maybe, but I dont think so. e, Draffs Denial Lettei He also credited Mr. Holbrook with haying drafted a letter for Mr. Berman which he said unequivocally denied any offer had been made by him to Mr. Klas. Peter Billings, bank counsel, said he telephoned Scott Cuming, general counsel of El Paso, to see if anything could be done to put an end to public discussion of the episode. Mr. Cuming, he said, told him about a proposed exchange of letters that would be presented to him by Mr. Holbrook. He said Mr. Holbrook indicated that the proposed letters a denial by Mr. Berman and a statement by Mr. Klas that he thought the incident a joke had been prepared in the office of Sen. Warren G. Magnuson, Sen. Magnuson, chairman of the Commerce Committee and author of the El Paso merger preservation bill, said he knew nothing about any drafts. At this point Magnuson asked the record to show I have never met Mr. Holbrook and never wrote to him. I havent the faintest idea what goes on in Salt Lake City," Sen. Magnuson added. (Contacted in Salt Lake City, Mr. Holbrook acknowledged drafting two letters for Mr. Klas and Mr. Berman hoping to avoid a public confrontation based on the premise that a misunderstanding must have developed between them. did not act as a courier for anyone nor did anyone in Washington, D.C., on Sen. Mr. Higgins said he did not take what he called Mr. Bermans offer to help get an El Paso bank deposit for Continental Bank seriously at the time. He said he considered it a beast to embarrass Mr. Klas, who was in charge of getting new accounts for the baric and had given up on El Paso. st Heard Talk of Lawsuit Later, he said, he heared talk f a libel cr slander suit against Klas and the bank and it scared me half to death . . . Mr. Berman, who had no prepared text and said he preferred to merely answer questions, explained the purpose of (I rants my own initiative without representing the interest of any client." (He said he was acting as "a e friend of both John Klas and Daniel Berman. But neither Mr. Berman nor Mr. Klas modified their respective positions and needless to say my efforts in their behalf were fruitless.) Sen.
