Articles of Incorporation. Following are the articles of incorporation: incor-poration: The undersigned, all of whom are citizens cit-izens and residents of Salt -iLake, state of Utah, whose names are hereunto affixed, af-fixed, have on this ulst day ot March, 1919, met pursuant to notice duly given pursuant to law, and have agreed and hereby do agree to form a corporation not for pecuniary profit, according to the 'provisions of title 19, chapter 1 of the Compiled Laws of Utah, 1917. The particular covenants and agreements of the undersigned, which are intended to be the articles of incorporation, are as follows, to-wit: Article 1 The name of this corporation corpora-tion shall be The Community Clinic and Bispensary. Article 2 The duration or term of existence ex-istence shall be 100 years. . Purpose nd Object. Article 3 The purpose and object of the incorporation is generally to promote pro-mote the physical health and well-being of persons residing or being within the county or" Salt Lake, state of Utah. , Specifically, it is and shall be to cooperate co-operate with any and all municipal corporations cor-porations and agencies and with individuals individ-uals and other corporations and associations asso-ciations in the establishment and maintenance main-tenance of a public clinic and dispensary, supported by voluntary contributions, to which any and all persons in need of medical, surgical or other care, attention or assistance for bodily or mental ailments ail-ments may apply for treatment or advice, ad-vice, and in connection therewith to furnish fur-nish proper hospital treaLment to those who may be in need of and entitled to the same; to secure from, associations and individuals competent professional service; ser-vice; to institute and maintain a system sys-tem of inspection of living conditions in the homes and habitations of- the county, to furnish in proper cases, where needed, competent nursing for the sick and infirm; in-firm; to co-operale y,-ith the municipal authorities in maintaining proper sanitation sani-tation and hygiene; to solicit from philanthropic phil-anthropic and charitable persons tha funds necessary to carry on its work, and to invest Jhe same in such manner as to assure the permanency of its work, and to receive and hold such real and personal property as may be necessary, all without pecuniary profit to the incorporation. incor-poration. The annual dues of associate members shall not exceed two dollars (,$;. Officers. Article 6 Tho officers of Che corporation corpora-tion shall consist of: A board of trustees trus-tees of fifteen members, all of whom shall be-jiermaneiirtly residing within the county of Salt Lake, and not more than one-third of whom shall be professional members : president, vice president, secretary, sec-retary, treasurer and managing trustee. -..The president, vice president, secretary, treasurer and managing" trustee shall be selected by the board of trustees from among their own number, and shall constitute con-stitute the executive committee of the board, having such powers as may be i conferred by the by-laws. I The term of office of the members of the board of trustees (excepting those elected at the first annual meeting) shall be three years and until their successors suc-cessors are elected and qualified. The' term of the other officers shall be one year and until their successors are elected elect-ed and qualified. Article 7 A majoidty of the board shall constitute a quorum. Qualifications. All the members of the board may join in the same instrument, binding themselves severally. Article 0 Regular annual, meetings of the members shall be held on the first Monday of December, 191i), and annually thereafter, at the hour of 8 o'clock p. m., at the office of the corporation, unless some other place be designated in the by-laws. The presence- either in person or by written proxy of not less than fifty members shall be necessary to hold any regular annual or any special meeting of the members, but less than this number may adjourn any regular or properly called special meeting from time to time until a quorum appears. . At the first annual meeting one-third of the entire board Shall be elected to serve one year, one-thii$d to serve two years and one-third one-third to serve three years, and thereafter one-third of the entire board shall be elected annually. Each and every member mem-ber shall be entitled to one vote at any meeting of the corporation Article 10 By-laws may be adopted cither by the board of trustees or by the members, at any regular or specially called meeting. The members may by special action declare a particular bylaw by-law or by-laws enacted by them as incapable in-capable of repeal or amendment by the i , board of trustees. The by-laws shall ; provide for the appointment by the trustees trus-tees of three persons, not members of the board of trustees, who shall act as an endowment committee. The members of this committee shall serve for one year, and until their successors are appointed. ap-pointed. Its duties shall ho to invest and reinvest safely the funds arising from the contributions of endowing members, mem-bers, and all other funds placed under its control by the board of trustees, and to pay over the income, and the income only, to the board pr as it may direct, for care and attention given regularly or frpm time to time by hospitals or sanitariums to patients recommended by the corporation for treatment. Article 11 The following shall constitute con-stitute the officers and trustees to serve until the first regular annual meeting, and until their successors are elected and qualified: ! E. B.
