Jolley said the transaction was consummated after months of negotiations with James E. Ford, president of Ford Intl. Ford now becomes president of Telecake, which has changed its name to First American Investors; and Jolley becomes vice president and a member of the board. Telecakes original business of operating a phone cake network through about 3,000 bakeries across the country will become a wholly owned subsidiary of First American Investors, Jolley said. Additionally, the company has acquired 711 acres of southern California subdivision properties from the Whitfield Corporation, Newport Beach, and the business of Bain Construction Company of Orange County, Calif. Jolley said the subdivision properties, valued at over S15 million, were acquired through a 55.7 million principal amount, 8.5 percent, debenture. The construction company was acquired for 100,000 shares of Tclccake, he said. (801)363-950- 2 Utah firm suing ABC for $75,000 in contract breach Professional Freestyle Associates of Utah is suing ABC Sports for $75,000 for an alleged breach of contract with the ski promotion firm. The suit, filed in federal court, claims ABC entered a contract agreement to record or broadcast three PFA productions this year. ABC, the suit claims, refuses to honor the contract, and has caused PFA financial damage. As well as not receiving the $75,000 promised by ABC in the contract, PFA claims it lost its financial backers when they learned the network would not air the shows. Additionally, the suit claims PFA had been negoitating with Capitol Sports of New York City to sell the Utah firm, but the deal fell through when Capitol learned of ABCs contract breach. The suit asks for a jury tried and a minimum of $75,000 in damages. |
