Show ESCALANTE VALLEY DAIRYMEN PERFECT PLANS OF ORGANIZATION AT MEETING; CHOOSE NAME, CONSTITUTION, OFFICERS The Escalante Valley Dairymen and Farkners Association of Minersville and Milford took definite form at a meeting of dairymen, dairy-men, farmers, stockraisers of Escalante Valley and representatives representa-tives of the Lions Club of Milford held Monday afternoon at the community club house in South Milford. Immediately after the meeting was' called to order at 1:30 by temporary chairman, R. C. Parrish, the members took up the business of choosing a name, adopting a constitution and electing officers. The name decided upon was the Escalante Valley Dairymen and Farmers Association of Mineifsville and Milford. The constitution drawn up by Lew Mar Price, county agent was presented and after being modified modi-fied by the members, adopted. R. C. Parrish was elected president, George Marshall of Minersville, vice-president, vice-president, and Sam Cline, secretary-treasurer. secretary-treasurer. Members of the board of directors for Minersville chosen were: Truman Rollins, DeLos Baker ;and George Marshall; for Milford Valley: Parley Fisher, J. G. Weber and Le-Roy Le-Roy Luken. Sam Cline and R. C. Parrish were elected representatives from the Lions Club. Membership Committee A membership committee consisting of R. E. Ellingsworth, Lester Williams Wil-liams and Clinton Thompson of Minersville Min-ersville and Ed Murdock was appointed appoint-ed and plans are being made for a get-to-gether party at Minersville for farmers, dairymen, stockmen, members mem-bers of the Lions club and their wives, the object being to arouse interest in the new association and promote membership. It is the hope of the organization to enroll everyone in the locality interested inter-ested in dairying and stockraising so that united they can work for their mutual protection and benefit. The purpose of the organization is to assist as-sist in co-operative buying and selling of equipment and products and" to accomplish ac-complish this end, the members passed pass-ed a resolution binding themselves to loyalty to the organization and the avoidance of dealing with agents. Contitution of the Escalante Valley Dairymen and Farmers Association of Minersville and Milford Utah. ARTICLE I. Name. Section 1. The name of this Association As-sociation shall be: Escalante Valley Dairymen and Farmers Association. Milford and Minersville Utah. ARTICLE II. Purpose. Section 1. The purpose of this organization or-ganization shall be to promote and develop the dairy industry within Escalante Es-calante Valley and to assist in cooperative cooper-ative buying and selling of allied products pro-ducts and equipment. Fostering of cow testing Association. ARTICLE III. Membership and membership mem-bership fees. Section I. The membership of this Association shall be made up of all producers of dairy products, farmers and breeders of stock with Escalante Valley upon payment of membership fees. Section 2. The annual membership fee shall be one dollar. ARTICLE IV. Officers. Section 1. The officers of the Association As-sociation shall be, President, Vice-Fresidont, Vice-Fresidont, Secretary-Treasurer and fivo (5) Board Members. ARTICLE V. Election. T Section 1. The President, Vice- President, Secretary-Treasurer shall bo elected annually at the annual meeting. Board members hold office for two years. Section 2. At the annual meeting in December 1030 two (2) new Board Members shall be elected. The following fol-lowing year (1031) three (3) new Board Members shall be elected and three (3) each alternate year following. follow-ing. Each odd numbered year two (2) new menlbers shall be elected. ARTICLE VI. Duties of the Officers. 'Section 1. President. The duties of the president shall be to preside at all general and board meetings, voting vot-ing only in case of a tie; to call special spec-ial meetings when necessary; to check on all matters pertaining to the affairs af-fairs of the association; and to countersign count-ersign all checks drawn on the funds of the association. Section 2. Vice-President. The vice-president shall be an active member mem-ber of the board, and shall assume the duties of the president when the hitter is absent. Section 3. Board of Directors. It jhall be the duties of the Board of Di-i Di-i cctois to act as a governing body for . the association. It shall be their further duty to examine and. approve all projects and plans before they are put into operation. It shall be the duty of the board members to act as chairmen of the projects adopted by the association. The board acting as-a as-a body shall have the power to elect committeemen from the general membership mem-bership to assist in carrying forward the projects. Section 4. Six members, including the president shall constitute a quorum. quor-um. Section 5. Secretary-Treasurer. It shall be the duty of the Secretary-Treasurer Secretary-Treasurer to keep an accurate record of all proceedings of the association including minutes of meetings, progress pro-gress of projects, etc. It shall be his further duty to bank all association funds, pay all bills, notify board members mem-bers of board meetings and members of general meetings. ARTICLE VII. Vacancies. Section 1. Vacancies occuring in any of the official positions of the association associa-tion shall be filled for the unexpired term by appointment through the board. ARTICLE VIII. Meetings. Section 1. The annual meeting of the Association shall be held on the first Monday in December of each year. Section 2. The board shall meet or shall call general meetings whenever the welfare and business of the association as-sociation demands. ARTICLE IX. Amendments. iSection 1. Amendments to this constitution may be matle by a two-: thirds vote of the members present at the annual meeting. ARTICLE X. All board and general meeting of this assaociation shall be held alternately alter-nately at Minersville and Milford, Utah. o ' - - |
