Combination Mining company, each owning and operating mining properties in the vicinity of the mining property of this company, by the formation of a new corporation, which new corporation is to acquire and take over all of the property and assets of the three mining companies before mentioned, and to issue in payment for all of said property and assets, certain of the capital stock of said new company; and also to consider and pass upon the terms and manner of such consolidation, and also to consider and pass upon all other matters growing out of or connected with the aforesaid transaction, and to consider and pass upon the former action of the Board of Directors with respect to all of said matters.
