0 webber as aa trustees for certain citizens of salt lake cit city yx utah who are subscribers to the fund hereinafter referred to the parties of the second part wit that in consideration of abe under takings and agreements of the parties of the second part hereinafter set out J the said party of the first part u undertakes agrees and binds himself his hig I 1 heirs personal representatives and assigns to build at his own expense 1 la salt bait lake county utah and on the ground hereinafter described th the following described works to wit first an copper refinery plant of capacity sufficient to refine and turn out twenty five 25 tons of pure copper product each day the building in which said plant will be constructed and operated is tu to be one hundred and eighty five by three hundred and fifty feet in fit size gize and contain and be operated by a thousand horsepower horse power triple expansion engine second A hollerand bol boiler lerand and engine house containing boiler capacity for a de to of fifteen hundred 1500 horsepower horse power third A gold and silver parting plant a n t in a building of area aquil ii to ax sixty t y by one hundred and twenty feet in siz alzi said plant to be of sufficient capacity to handle and separate all ane gold and silver product from said eaid plant fourth A roasting furnace in a building of area equal to sixty by one hundred and sixty feet in ia size fifth A copper smelting smelling sm elting plant in a building of area equal to sixty by one hundred and twenty feet in size sixth A copper casting furnace plant in a building of area equal to forty by one hundred and seventy five feet in size seventh A converter plant in a building of area equal to sixty by one hundred too in size eighth A copper rolling mill for manufacturing sheet copper etc of suitable dimensions and capacity for the practical and successful opera of the same ninth A copper wire mill of suitable dimensions and capacity for the practical and successful operation of the same tenth ore houses coke houses machine shop blacksmith and repair shops hops and such other buildings and improvements as wil be necessary to the I 1 of all the theadore afore galu works pull full plans specifications and details of all said buildings art are t to be filed with the committee hereinafter named as fast as aa the said asia plaus are completed each of said main buildings up to and no 9 to be substantially constructed or stone brick iron or orsteen steel shall be built by and at the expense of the party of lue lae first part anu ano each ot of slid s nd plants is tu to be fully furnished and equipped with improved and suitable machinery ad a d upp appliances lian for the performance of the work for which it to is designed the cost of all the said works when bo completed is to be b five hundred thousand dollars exclusive or of the liao ground on which they will be built anu said works are to be of such ca capacity as to employ three hundred WO men iu in their operation when running to their full capacity and said party of the first part further urther agrees to keep said works iu in operation for a period ot of live five 5 years from the he date of their completion during the last nine months ot each year ex cent anen prevented by strikes or inevitable accidents aria anu agree to employ about two hundred anu and fitly fifty men therein during all the time they are so operating said party of the first part further agrees to begin the work 0 of tiou lion of said improvements bituin thirty 30 days the time ot ex of this ag agreement rement anti and to continue said work of construction vigorously until said eaid works are all completed and all the said works are to be so comple completed tej and put in ILI operation on or before the ibe first day of january 1894 provided that as to the operation or the smelting smelling sm elting plant it shall be contingent upon plo procuring curing sufficient ores to operate the same and all are to be built upon the following described site or tract of laud to wit description of site to be inserted nere here and in inconsideration consideration of the erection and operation of said works by said party of the first part as aforesaid the parties of the second partin part in their capacity as such trustees undertake and agree first that the tittle deeds conveying an title to all the ands aforesaid shall be placed in escrow with the committee hereinafter named to be held by said committee fur for the use of the parties hereto the title to forty acres of said laud lanu same to be selected by said party of the first p part art shall shail be made out to the party of the first part when a majority of said committee shall be satisfied that one hundred thousand dollars kiss has been expended upon said grouns in the construction of said works the title to toe tie remainder of said ground shall be made over to the party of the first part when said committee shall be satisfied that two hundred and fl fi ty thousand dollars has been expended by him upon the said aid grounds in the construction ol of said works under this contract but said party of the first part and th those ose engaged n with or employed by him shall ij the i execution of this 00 contract tract and of the bond hereinafter pron provided aided vided fr for be privileged to enter upon said grounds and all the same without molestation fur the purpose of building the said works second the parties of the second part trustees as aforesaid will pay over to the abe party of the first part out of the moneys which may come into their hanos bonus as such trustees from the subscriptions and donations made by citizens aud and property owners of salt bait lake city anti ana others to the fund subscribed for the purpose of de curing the location of said works at salt lake city but not otherwise the sum of as a bonus in aldi addition tion to said grounds for the building ot of said works said money to be paid out of said fund in installments as fol follow lowr fe fifty thousand dollars thereof to be paid upon the execution of this contract and the commencement of said work of building build log anu the execution hy by the party ot the first part to the parties of the beconi part pan as such trustees of a bond in the sum of one hundred thousand dollars with sureties satisfactory to said parties of the second part c said party of the first part will apply all moneys so donated and paid to him to the erection of said works and will ju in all ail respects carry out and perform in good faith all this contract to be by him performed twenty five thousand dollars of said sum is to be paid out of said trust funds so as aforesaid on the first day ot of june 1898 1893 provided that s stid sid works are by that thai ball bali completed comple teo eted and if not then when said works are halt hair completed as aforesaid the last install installment main t of twenty five thousand dollars is to be pal out of said trust fund 0 the first day of september 1893 provided the sa as d works are fully completed and in oper operation aLion in all respects in acard acci once with the terms of this contract by that date and if not then so BO completed said last installment shall be payable on such euch completion within the time limited to in the contract it is further farther stipulated and agreed be tween the said parties hereto that spencer clawson W 8 alok alck J W donnellan J H bacon C P mason shall be and are hereby constituted a committee to secure and hold the title deeds aforesaid with authority to deter mine when said has baa been so expended and when said works shall be half completed and when said wor works keare are fully completed and the deeds for said several parcels of laud land and the deferred payments pay mens of said eaid fund shall be due and payable on the certification of a majority of said committee that the terms of this contract have been complied ath by the party of the tint first part and not otherwise it is further agreed that inasmuch as 9 some ome of the processes to be used in said works and particularly in said elettro copper refining plant are not usually known and it to is important to the party of the first art to keep all k knowledge now ledge of said processes secret from all persons the said party of the first part shall not be required for any purpose to divulge to the parties or 01 the second part any information which woul in any mai manner mainer ner tend to reveal to any person any knowledge of the secret processes 11 bove above referred to in witness whereof the party of the first part has baa hereunto subscribed his name and the parties of the part as trustees as aforesaid and not in their
