Show The Page Four Notice of Special Meeting of Stockho Iders of Nephi Irrigation Company NOTICE IS HEREBY GIVEN, that pursuant to a resolution of the Hoard of Directors of said com-p.n- y proposing amendments of Articles of ncorporation, and fixing time and place for and directing notice of a special meeting of stockholders to consider and vote upon such proposal, there is hereby called a special meeting of the stockholders oi the Nephi Irrigation Company, a corporation, to be held in the District Court Room of the County Court house at Nephi City, Utah, on Saturday, the 12th day of Januavy, 1946, at the hour of two o'clock P. M. The amendments to the Articles of Incorporation proposed and to be voted upon at said meeting are, (N) that Article IV be amended to provide and read as follows : "To borrow money to (N) such an amount and upon such be determined terms as may necessary by the Board of Directors, but to incur no indebtedness thereby which with then existing indebtedness, exclusive of indebtedness incurred by authorization by a special vote of the stockholders, will exceed and to issue notes, or other evidences of indebtedness to secure the payment of the same; and to borrow money in excess thereof upon and with the authorization of a majority vote of the outstanding capital stock of the corporation, issuing bonds, mortgages, and trust deeds as evidence and security foV payment thereof." $15,-000.0- 0, and that Article XV of the Articles of Incorporation be amended to provide and read as follows: LIMITAT-ATION"ASSESSMENTS That the capital stock of this corporation is hereby declared to be assessable, and assessments shall be levied at such times and in such amounts as the Board of Directors may determine; PROVIDED, however that the Board of Directors shall not levy assessments in any one calendar year in excess of of the par three per cent value of the outstanding capital stock of the corporation; PROVIDED further, that the Board of Directors shall have authority lo levy such assessment in addition thereto as may be necessary with which to meet and pay interest and principal maturing on indebtedness incurred by authorization of a special vote of the stockholders; and Provided further, that when auth-rize- d to do so by a majority vote f the outstanding capital stock the Board of Directors may levy ;.n additional assessment of not more than three per cent (3'c) of the par value of the outstanding capital stock of the corpora-i- n in any one calendar year. .ssessments shall be levied and collected in the manner as provided for by the laws of the of the State of Utah, or company, if any."
