COM-PANY. A UTAH CORPORATION, AND THE BUSINESS TO BE TRANSACTED AT SAID MEETING. MEET-ING. NOTICE is hereby given that the Annual Meeting of the Stockholders Stockhold-ers of the Abraham Irrigation Com pany, a Utah corporation, will be held on Tuesday, the third day of February, 1953, at the hour of 2 o'clock p.m. of said day, at the offices of the Company at Delta, Utah, for the following purposes: 1. To hear, consider and vote upon a proposa heretofore recommended rec-ommended by the stockholders of the company at the Annual Meeting held on the 5th day of February, 1952, to amend the Articles of Incorporation as follows: (a) To amend Article IV of the Articles of Incorporation to read as follows: ARTICLE IV The amount of the authorized capital stock of this corporation is Five Hundred Seventy Three Thou sand, Eighty ($573,080.00) and no lOOths Dollars, divided into four teen thousand, three hundred twenty seven (14,327) shares of the par value of Forty ( $40.00 ( Dollars per share. (b) To amend Article VII of the Articles of Incorporation to read as follows: ARTICLE VII The number and kind of officers of this corporation shall be as fol lows: The officers of this corporation shall consist of a board of seven (7) Directors. A president; a Vice President, and a Secretary and a Treasurer. The President and Vice President shall be members of the Board of Dirctors. The Secretary and Treasurer may be one and the same person. In order to be eligible eli-gible to an office in this corporation, corpora-tion, except that of Secretary and Treasurer, the holder shall be the owner, as shown by the stock book of this company, of at least one (1) share of the capital stock thereof. Four (4) Directors shall constitute a quorum, and shall be authorized to transact the business and exercise the corporate powers of this corporation. The Board of Directors of this corporation shall be elected, as herein provided, provid-ed, at the Annual Meeting of the shareholders, to be held at the general office of the corporation upon the 1st Tuesday in February of each year, at the hour of 2 o'clock p. m. of said day. The term of office of the Directors in said corporation, except those first elected pursuant to this amendment, amend-ment, shall be for two (2) years, and until their successors shall be duly elected and shall have qualified. All officers shall hold office until their successors have been duly elected and shall have qualified. At the Annual Meeting of the stockholders to be held on the 1st Tuesday of February, 1954, there shall be elected four (4) Directors to hold office for a term of two (2) years, and three (3) Directors to hold office for a period of one (1) year. Thereafter, at each annual an-nual election, the successors to the Directors whose term shall expire in that year, shall be elected elec-ted to hold office for a term of two (2) years. There shall "be held on the 1st Tuesday In February of each year, beginning with the year 1954, at 2 o'clock p.m. of said day, at the general office of the corporation, an Annual Meeting of the Stockholders Stock-holders of this corporation for the election of the members of the Board of Directors whose terms shall have expired in that year, and for the transaction of such other business as may lawfully come before said meeting. The Board of Directors of the corpora tion shall elect the other officers of the corporation and such offi cers shall hold office during the pleasure of the Board. Any officer may resign by filing a written resignation of office with the Secretary Sec-retary of the company, or in case of the resignation. of the Secretary, with the President or Vice President Presi-dent of the company. Miss Phyllis Turner is home from Salt Lake City with her parents for a visit before leaving for New York City where she will be em ployed. Mr. and Mrs. Myron Vest of Mil-ford Mil-ford came up Saturday for an over night stay with their sons, Cornell and Sam and families. Mrs. Vest is recovering from an attack of pneumonia. She was hospitalized hospitaliz-ed sixteen days. i Mrs. Mary Smith left Monday for Concord, Calif., where she will visit for the next month with Mr. and Mrs. Elwood Dean and tfamiiy. I Mr. and Mrs. Harry McCardell spent Saturday in Provo on business. busin-ess. Mr. and Mrs. Newell Hewlett and family drove over from Kan-osh Kan-osh Saturday where they were Joined by Mrs. Irvin Whatcott and they drove on to Logan, where they visited Mr. and Mrs. Daroldj Whatcott. On the way home Sunday Sun-day they visited Mr. and Mrs. Jack Ashton in Provo. Mr. and Mrs. Earl Bradfield of Scipio called at the Whatcott home Saturday. Mr. and Mrs. Keith have a little new daughter born at the Nephi hospital Saturday. Mr. and Mrs. Bob Ogden drove down from Orem Sunday. They are with their daughter, Lois and family. fam-ily. Mr. and Mrs. Clarence Hogan are home from Pasadena, where they visited Mr. and Mrs. Cliff Stevenson Ste-venson for a week. Mrs. Clarissa Blake, a representative represen-tative of the stake board of the Primary visited our Primary Mon day. Leamington MRS. MABEL HARDER Mr. William Bradfield was guest of honor on the occasion of his seventy-second birthday Sunday. A large family dniner was held in his honor. Thirty-five family members, mem-bers, including his 93-year old father, fa-ther, enjoyed the get together. Mr,s. Reuben Jones and Delroy of iMilford visited Thursday with Mr. and Mrs. Walker Finlinson and family. Mrs. Don Bird and son spent Sunday with her parents, Mr. and Mrs. Eldon Nielson. Mr. and Mrs. John Prachko and sons of Salt Lake City visited Sunday Sun-day with Mr. and Mrs. Kenneth Nielson. Mrs. Barta Davis and daughter, and family and Mrs. Arvilla Evans visited over the weekend with their mother, Mrs. Emma Nielson. Mrs. Barbara B. Erickson of Nephi, Ne-phi, and Gordon Nielson were married mar-ried January 5 in Salt Lake City. They drove to San Francisco and down the coast to Los Angeles where they visited with Mr. and Mrs. Kent Larson and daughter, Gloria Jean. They returned Mon day to make their home in Leam ington. Mr. and Mrs. Oxel Johnson returned re-turned last week from a trip to San Diego and Los Angeles. Denny Lambright visited two weeks with his grandparents, Mr. and Mrs. Dell Bradfield. A family dinner was served on Sunday at the home of Mr. and Mrs. Dell Bradfield. Present were: A new grandchild for Mrs. Elida Taylor of Delta, is the baby girl born Dec. 27 to Mr. and Mrs. Riley Taylor at Cedar City. She weighed weigh-ed 7 pounds and two ounces at birth and is named Terry Lee. Mrs. Delia Lisonbee is spending the winter months in Torrance, Cal., and Bakersfield, visiting her children, Mr. and Mrs. David Jacobs Ja-cobs and Mr. and Mrs. Scott Stoddard.
