Show iPARK CITY DEAL TO COTpCH Thompson Company Ratifies Action of Directors at Spe: rial Meeting. WEST QUIXCY IS STILL CONFERRING Shareholders Did Not Take Definite De-finite Action at Their Session. Special meetings were held Wednesday Wednes-day afternoon by the stockholders of the Thompson Mining company and the West Qulncy company, at which tho mattor of disposing of tho properties to tho nowly-organizcd Thompson-Qulncy Consolidated company was taken up for disposal. Tho Thompson people ratified the action of their directors without question, and as far as this company Is concerned tho matter evidently Is closed. There was no dcflnUc action, however, taken by the West Qulncy shareholders, who adjourned until December De-cember 15. i The purposes of these special stockholder' stock-holder' meetings are bom told by the following notice published: "The object and purpose of said meeting meet-ing being to ratify nnd confirm the action ac-tion of its board of directors wherein they have authorized and directed the sale of its property and assets, both real nnd personal, lo the Thompson-Qulncy Thompson-Qulncy Consolidated Mining company, a corporation. In consideration of said last-named company transferring lo it 33S.600 shares of Its capital slock In exchange for the outstanding shares of stock of said company, and for the further fur-ther purpose of ratifying and confirming confirm-ing the terms of one certain written contract entered into by Its hoard of i directors with the West Qulncy Mining company, Daly Mining company, Ontario On-tario Mining comuany and Daly West Mining company, wherein a consolidation consolida-tion Is agreed upon of the properties? owned by tho Thompson and West Qulncy Mining compunles, under the name and style of the 'Thompson-Qulncy 'Thompson-Qulncy Consolidated Mining company.' with a.capltal stock of 1,250.000 shares, and wherein It Is agreed that- for certain cer-tain easements being granted to said consolidated company by the Ontario Mining company. Daly Mining company com-pany and Daly West .Mining company, for drainage and operation purposes, said new corporation 'will deliver lo said companies 200.000 shares of Its treasury slock, and for tho further purpose of ratifying all acts of Its officers of-ficers and board of dfrectors In connection con-nection with said consolidation and transfer of lis property." . The West Quiucy notice was practically practi-cally the same, only the West Qulncy shareholders are to receive 2S5.S90 shares of the new stock In exchange for the old. The distribution of llie 200,000 shares of stock meiitionod Is to be as follows: Daly. 75.000; Daly West, 50,000; Ontario, On-tario, 75.000 shares. Ore and Bullion.
