Show TO the ac to o it SECTION I 1 be it enacted by the governor and legislative assembly of the territory of utah that any number of persons not less than five may become a body corporate for the purpose of preventing cruelty to animals and fowls such corporation shall be domed by the persons associated for that purpose executing under their hand and acknowledging before some person authorized to take acknowledgment of deeds articles of association which shall contain firki the proposed corporate name of the association seconds the place where the principal office of the corporation win be located third the period for which the corporation shall continue Jf the objects of aaion w fifth the name of the persons associating socia ting and their respective places of residence sixth the number of directors dmd regular officers seventh the terms and conditions of membership both active and honorary SEC 2 A copy of such articles of association so executed and acknowledged verified by the affidavit of one of the persons ano the ori ginal shall be filed and recorded in the office of the clerk of the district court or in the office of the cleric of the county court and said clerk shall issue under the seal of said court a certificate to the effect that such articles of association have been filed and recorded in his office which certificate together with a copy of the articles of association certified by the district clerk of the county court shall be filed in the office of the secretary of the territory who shall issue under the great seal of the orya certificate of incorporation and thereafter the persons so executing such articles and those who may afterward become associated with them shall become and be a body politic and corporate for the purposes in such articles mentioned SEC 3 the affairs of such corporation shall be managed by a board of directors to be chosen in the first instance by the persons who shall have executed the articles of association and thenceforth annually by the members of the association the president secretary and treasurer of the association shall be chosen by the board of directors and the president shall be ex officio a member of the board SEC 4 the board of directors shall have power to make bylaws by laws prescribing the terms and conditions of membership of the association and in respect to all other matters relating to the association and its business not inconsistent with the provisions of this act A majority of the members af pf the board shall constitute a quorum for the transaction of all business SEC 5 any corporation organized under this act shall have power to take hold and convey real and personal property not exceeding 10 in aggregate the SEC 6 such corporation shall whenever required by the auditor of Public Accounts make and file with that officer a report giving a full statement of its affairs showing the amount of money and the property its character and value received by it and from whom such money and property have been received and abo the disposition made thereof together with an itemized statement of all money expended by it and for what purpose SEC 7 the objects of such corporation po ration shall be to prevent cruelty to animals and by the enforcement of all the laws of the territory on such subjects and all other lawful means and ahall exercise no other powers SEC 81 this act shall take effect upon its passage and approval |
