business men oC the elty After an animated discussion that lasted for hours the articles OC Incorporation In-corporation for the club were adopted I I I after many Important change4 had I III II been made all present signed an agreement to be Incorporators of the club after the articles were put in j ti proper shape a committee five Was appointed to get the signatures of the other members of the original commit ot tee of 100 or to learn their reasons for not signing and an adjournment was taken till Wednesday evening when another meeting will be held to elect I the board of governors for the club and to put the machinery In motion LIST OF INCORPORATOR8 The meeting lost evening was presided pre-sided over by Gov Wells and the discussion dis-cussion on some of the controverted points was decldedly lively The committee com-mittee of fifteen that submitted the I report came In for some hot shot and was not able to sustain every position taken although in the main the report went through There were forty members mem-bers of the committee ot 100 present at the meeting but some of thuln luft before the work of the evening was completed Those who Blffiiod the I agreement to Incorporate Adams James Chip man George C Lambert and George P Ilolman I NEW COMMITTEES After the articles of incorporation had been adopted and those present had signed an agreement to Incorporate incorpo-rate the club Postmaster Thomas moved that the chair appoint a committee com-mittee of seven to nominate a board of governors and to report at a meet Ing i of the committee 100 to beheld at the Knutsford hotel on Wednesday evening January 22nd Gov Wells appointed this committee ALu Thomas L S Hills George A Lowe 03 G Webber C A Quigley N W Clayton and George T Odell On motion of William Iglehcart the chair appointed a committee of live to see that the other members of the committee sign the agreement to In corporate the club or secure their rea sons for not doing so The committee appointed Is composed of Mr Iglo heart M II Walker L L Terry S F Fenton and Samuel Weltz This committee planned to dec every mem ber of the committee before Wednes day evening CHANGED THE PHRASE Th first matter taken up at the meet ing I last evening was the report of the committee of fifteen This report came in In the shape of articles of Indorpo ration On motion they were read by the Bccrctary of the meeting Charles Bead and on motion of John E Dooly the report was received and the com mittee discharged A motion then car ried that the articles be considered section by section The Ural amend ment was offered by George M Can non It was to substitute In article 3 giving the objects of the club for the words rather than dividing them as enemies the words mutually Inter ested In each others welfare He ob jected l to the first phraseas raising an issue that should not exist Gov Thomas said the words were taken from the constitution of the old ZIon Board of Trade but Mr Cannons amendment carried > FAVORED SMALLER FEES The first real contest came over the articles fixing the fed at uO und the annual dues at 540 J C Lear started the ball roiling by demanding to know what kind of a club was intended He Raid be had been on the committee of fifteen and the subcommittee of six and yet had never been given a definite idea as to what kind of a club Is In tended He favored smaller fees and dues In order that the club might be larger and thought the membership should be 300 or 350 The first question to settle he said was whether a large or small club was wanted He feared the high fee and dues would make the club exclusive He said If the social feature was to be made the main one he had clubs enough George M Cannon argued along the same line and offered an amendment that the fee be 25 and the dues 20 FOR HIGHER FEES John E Dooly argued for the higher figure on the ground that the club would need support IC properly con ducted Ho thought it would be Im possible to get more than 250 mem hers N AV Clayton took the same ground as did also II M Dlnwoodey ESTIMATE OF EXPENSES William Nelson thought the commit too ought to be able to give an estimate as to what the cost of the equipment and the running expenses of the club would be He thought those present were entitled to know whether the club rooms wore to bo plain or luxurious how much the secretary was to be paid as to the extent of the library he wan to have and matters of that kind DEFENDED COMMITTEE C A Quigley spoke with great car nestness committee in defense of the action of the It had gone to work hap hazard opposed thqres taurant feature FAVORED LUNCH John E Dooly said the club should ciVc a mlddiy lunch at Icu < iL If this were not done the Commercial club would follow in the footsteps of ho Chamber of Commerce Without some such feature he thought it would be hOtter to drop the matter altogether J D Wood took the same positionS IS Y Shclp said the club must furnish fur-nish lunch It must furnish a pleasant place for business men to smoke and enjoy some of the coinftflls and luxuries lux-uries IC not It would not be patronized It Would require 4000 or 6000 to fitup the clubroomfl The poclal feature ho considered the most important The club could be so conducted thought that business men could not afford to stay out of 1L 1LFEES FEES FIXED The motion to reduce the fees and clues to25 and 20 respectively l wan put and lost Samuel Welts proposed an amendment fixing the fee ilt25 and dues at 40 und this was lOst l L Shills S-Hills proposed on amendment fixing the fee for nonresident members at 1L50 1 and tho dues at 10 and this was lost The fee 050 and dues of 40 as stated in the articles were then adopted ADMISSION OF CORPORATIONS George Y Wallace moved that corporations cor-porations bo admitted to membership with one vote S V Shelp explained that this was opposed by the committee commit-tee as It would give some of the large corporations the benefits of the club for a great number of members l The polnt was argued at some length and Wallace finally withdrew his motion AMENDED ARTICLES ADOPTED The article concerning the election of officers the board of governor was so amended us to permit the electron from outside Its membership The section relating to tho duties oC officers was amended so lt3 to confer l the same duties on the vicepresident as on the president The section on membership was so amended that three members the board of control cannot reject a candidate for membership On motion of N W Clayton the arUcles as amended were adonted QUESTION OF ORGANIZATION The question of organizing the club then came up Gov Wells took the position that the board of fifteen would have to Incorporate and then take in the other members This promised to tangle things up and there was a lively live-ly s discussion in which McGurrln Lynne Clayton Welt and Kem took leading parts It was finally agreed that all present could become Incorporators Incorpor-ators and all other members of the committee of 100 If they so desired The thirtythree present agreed to this The articles will be put In shape for filing 1 with the Secretary of Suite and no time will bo lost In completing the organization or-ganization The board of governors will be named next Wednesday even ing and that organization will proceed to the election of ofilcers The club will then be ready for business |
