members of a change in the interpretation of what constitutes a voting member when that membership is held in the name of a married person or a sole proprietorship The Bylaws of Mt Wheeler Power Inc under Article I Section 2 dealing with memberships held in the name of a " (b) married person read as follows: The vote of either the member or the constitute shall of member the spouse one vote and the spouse of the member shall have the right to vote only in the absence of the member" (Absence of the member refers to absence from the polling place in this instance) In situations where the member has electrical service in there name and the spouse of that member has electrical service in theirname according to the Bylaws the husband and wife as one entity is entitled to only one vote Also sole proprietorships held in the name of either spouse are covered by the original membership and are there- - fore not entitled to and additional vote m the name of the business Only separate entities such as corporations partnerships associations etc are entitled to a separate vote There would be an exception in the case where the residence of the sole proprietorship is located outside of the Cooperative’s service territory then the sole proprietorship would constitute the original membership The Board of Directors understand that the Cooperative has been lax in the enforcement of this Bylaw in the past but they have resolved that the cooperative adhere to this long precendented cooperative principle and bylaw provision I any member has any questions concerning this ruling please
