The Falrvlow Eagle's Nest Mining company and the Falrvlow Hallstono Consolidated Mining compay. under the old management of the Sullivan Trust company and doing work to keep the properties alive, became indebted in-debted to tho State Bank & Trust company for a considerable nmount of money. Not having anr power to nsscss tho shareholders, the present directors hae been unable to prevent tho receiver of the Slate Bank & Trust company from getting Judgments Judg-ments against those companies and having the property sold under exe-I exe-I cutlon. It Is this situation that mado it necessnry to take Immediate steps to savo, if possible, the property for all tho stockholders. Messrs. Zadlg & Company, brokers, San Francisco, Cal., who havo been very successful In the reorganization of the Rescue Eula, havo undertaken to do tho same with the Fain-lew Eagle's Nest and Falrvlew Hailstone uMlnlng companies, and, with that end In view, havo taken the following stops: Detail of Plan. First The Eagle's .Nest Hailstone Consolidated Mining company has been created under the laws of Ne-.! Ne-.! vada to becomo the successor to and ! substitute for tho ' Falrvlew Eagle's Ne9t Mining compqny and the Falrvlew Falr-vlew Hnllstonc Mining company, with a capitalization of 2500,000 shares at a par value of $1 per share, but with broader and moro satisfactory powers pow-ers than may bo exercised by the latter lat-ter companies. ' Second The new company has been organized and Is ready to pro- eded to carry out the principal pur-, pur-, pose of Its creation, viz.. The acquisition acquisi-tion of the properties of and the practical prac-tical substitution of this company for the old companies, as follows . (a) By issuing to each stockholder of the Fnlrviow Eagle's Nest Mining company, upon the surrender of his certificates so that this company will becomo tho owner thereof, and tho payment of one cent for each share properly indorsed, to this company, an equal amount of the capital stock of this company, share for share. Penalty of Delay. ((b) The exchanging of tho Fair-view Fair-view Eagle's Nest Mining company and the Falrvlew Hallstono Mining company shares for tho Eagle's Nest Hailstone Consolidated Mining company com-pany will be the only way for tho stockholders of those companlos to ever have a chance to benefit by the doelopmont now being mado 'by the Nevada Hills, the mine adjoining.
