Vieto North Star Daly The management of the Carisa Copper & Gold Mining company has addressed to its stockholders a circular letter in which it is said that something more than 400,000 of the total issue of 506,000 shares of the old company's stock have been turned in for exchange for the stock of the new corporation, the exchange -being upon an equal basis. The company was reincorporated in Maine that certain advantages might be gained, including m4 making of the stock non-assessable, The property of the old corporation having been transferred to ~ the new the former has no souree of revenue and in order to provide a fund to defray the expenses of closing its affairs the directors Adopted a rule or bylaw that after July § two and one-half cents a share should be charged as a transfer fee, But in view of the lack of information on this point upon the part of the public this requirement has been waived until August 1, 1907. until which time only the old transfer fee of 25 cents a certificate will be charged. The transfer of the property from one corporation to the other was effected by action of the directors, ratied by more than two-thirds of the shareholders, the consideration being 500,000 shares of the new company's stock, w hich is the entire issue, with a provision that any persen {ot desiring to exchange stock in the Utah corporation for that of the Maine corporation might receive within ten days after transfer fifty cents péef share for their stock, this being at the rate of $250,000 cash for the property, deemed by the directors and stockholders to be a fair cash price for the mine in the condition in which it then was. his information, especially in re- OREN 2746-4 fo.
