The property to be sold comprises part of the assets of a project commonly known as the Jeremy Ranch. PURPOSE OF SALE The sale of the real and personal property is being conducted by Virginia Beach Federal Savings Bank, ffca Virginia Beach Federal Savings and Loan Association ("Virginia Beach Federal"), pursuant to the following documents: 1. A Trust Deed with Assignment of Rents (Trust Deed") executed by the Jeremy Ltd., as Trustor in favor of Richards Woodbury Mortage Corp., recorded December 6, 1982, as Entry No. 19889S, in Book M241, at in the official records of the Summit County Recorder's Pages 530-3office, and also recorded December 6, 1982, as Entry No. 49015, in Book in the Morgan County Recorder's office, securing M38, at Pages 110-1certain obligations which include, but are not limited to, an indebtedness evidenced by a note in the original principal sum of Twelve Million, Five Hundred Thousand Dollars ($12,500,000.00). A Security Agreement dated November 26, 1982, entered into by and between the Jeremy, Ltd., a Utah limited partnership, and Richards-WoodbuMortgage Corporation, securing certain personal property more particularly described in Exhibit B- -l hereto. 4. A Security Agreement dated July 16, 1984, by and between The Jeremy, Ltd., a Utah limited partnership, and Richards-Woodbur- y Mortgage Corporation, a Utah corporation, securing certain personal property more particularly described in Exhibit B-- 2 hereto. 5. Amended and Restated Security Agreement entered into in August, 1988, by and between The Jeremy, Ltd., and Virginia Beach Federal Savings and Loan Association pursuant to which The Jeremy, Ltd., confirmed the grant of a security interest in favor of Virginia Beach Federal in and to certain utility contracts more particularly described in Exhibit B-- 3 hereto. Trust Deed and the The beneficial interests under the Construction Trust Deed and the rights of the secured party under the Security Agreements above referenced are now owned by Virginia Beach Federal.
