A-1- 77 A-1- 22 A-1- 01 A-1- 94 A-- 15 A-- 41 A-- 44 A-1- 15 A-- 14 A-1- 62 A-1- 47 A-1- 73 A-1- 48 A-- 19 that, pursuant A-1- 16 to a Resolution of the Board of Directors, adopted on September 16, 1958, a Special Meeting of the stockholders of Sahara Uranium Corporation, a Utah corporation, will be held at the New house Hotel, Salt Lake City, Utah, on the 28th day of October, 1958, at the hour of 10:00 oclock a.m., lor the following objects and purposes: (1) To consider and vote upon the pro posed agreement by and between Sahara Uranium Corporation, a Utah corporation, and United Western Minerals Company, a Delaware corporation, dated August 15, 1958, - whereby Sahara Uranium Corporation purposes and agrees to sell to United Western Minerals Company all of Its assets In consideration of the receipt of 28,158 shares of the common stock (par value 10c per share) of United Western Minerals Company, and matters Incidental thereto. Including: (a) Hie ratification, authorisation, approval, adoption and confirmation of that certain plan of and Exchange Reorganisation Agreement, dated August 15, 1958, together with any and all supplewritten amendments, ments andor modifications thereto and the execution thereof by and between Sahara Uranium Corporation, a Utah corporation, and United Western Minerals Company, a Delaware corporation, which agreement has been entered Into and signed by the respective officers of each of said corporations; and (b) The authorisation of the directors and officers of Sahara Uranium Corporation to take any and all action and do any and all things and to execute any and all documents necessary and proper to accomplish the purposes set forth In said agreement as the same may be amended, modified, andor supplemented. 2 Conditioned upon the ratification, adoption approval, authorisation, and confirmation of said Agreement of Sale, to consider and vote upon a proposed Resolution to dissolve Sahara Uranium Corporation to and inaccordance with the laws of the State of Utah, and to distribute all of the Corporation's asseU (which will consist of the common stock .of United Western Minerals Company) to the stockholders of Sahara Uranium Corporation on a pro rata basis. as (3) To transact such other business may regularly come before the meeting or any adjournment or adjournments thereof. The meeting may be adjourned from . time to time without further notice than announcement at the meeting of any adjournment or adjournments thereof.
