On February 9, 1984 toe Commission apDroved the Petition of Long Distance ond Sorenson by Summar y Order without formolrty of heortng. in support of the Pwfition, Petitioners represented that toe public interest and the Interests of the customers of Long Distance would be better served bv the proposed acquisition by Sorenson. Further, ttie Commission staff was Informed by Long Distance prior to opproval of ttie Summory Order, that oil security deposit- previously collected from toe customers of Long Distance would be protected and refunded to customers by Petitioners upon Commission opproval of the acquisition. in oddttion, Petitioners represented that all accounts poyobie of Long Distance to Mountain States Telephone and Telegraph Compony (Mountain Bell") were curr ent. The Summary Order provided a twenty dov period, from the first date of publication in a newspaper of general circulation, for anv party to file meritorious wi rtten protest of the Commissions opprovoi of the acquisition of the customer base of Long Distance by Sorenson. By memorandum dated February 28, 1984 the Utah Division of Public Utilities (Division") lodged o protest and requested o hearing to address ond clarify issues raised thereby. The Divisions memorandum represented toe following: 1. Long distance owes approximately 562,000 In debt owed to Mountain Bell, $20,000 of which is delinquent (in excess of 30 days) with on inadequate amount of security deposit (approximately 549,000). 2. The Jonuory 27, 1984 letter of acceptance, that hos been deemed a binding c ontooct between Long Distance and Sorenson, allows Long distance to retain ony monies previously collected os customer security deposits. The letter of acceptance provides toot Long Distance will be responsible for customer deposit demands, forwarded by Sorenson, during the term of toe agreement and Sorenson will be responsible thereafter. Therefore, Long Distance customers wouid be required to Initially contact Sorenson to obtain their security deposit ond then await a response from Long Distance. However, since Long distance will no longer be operational the Division believes this mechanism places ttie recovery of customer deposits at considerable risk. On March 13, 1984 the Division and Commission staff met with Petitioners Informally to clarify Issues outlined In the Division's memorandum. As o result of this meeting, the Division agreed to withdraw tts request for a hearing, provided that odequate revisions would be mode of the Summary Order to protect the security deposits of the Long Distance customers. Subsequently, by memorandum dated Morch 19, 1984 to the Commission, the Division supported their recommendation by ttie following: representing 1. Long distance estimates that tt collected more than 370,000 In customer deposit from approximately 4, 100 customers who are to be transferred to Sorenson. Non of Long Distance's customer deposits were ptaced in escrow or secured. Only $2,500 to $3,500 In customer deposits hove been refunded by Long Distance. Long Distance claims they currently have inadequate financial assets to provide for repayment of all previously collected customer deposits. 2. Long Distances only remaining assets, after the transfer of their customer base to Sorenson, ore occourrts receivable amounting to approximately $50,006. Assuming the accounts receivable can be collected by Long Distance toe Division believes fills revenue will be needed to cover debts to Mountain Bell. Long Distance is currerfiy in debt to Mountain Bell for $52,000 ond expects additional billing to amount to $25,000. Presumably Long Distance will rely on its $23,000 cash deposit and $30,000 letter of credit to supplement the revenues from the occourrts receivable to cover tneir debts to Mountain Bell. Although toe Division Is concerned that Mountain Bell mav be ot risk In this transaction, Mountain Bell by letter to the Commission dated Jonuory 27, 1984, states that they are confident there will utlimately be no outstanding Indebtedness with Long Dis- tance. 3. The Division concludes that Long Distance's present ond prospective financial position makes it improbobie that they will be able to return onytolna more toon a few token deposits ta their previous customers, n Is apporent to toe Division that Long Distance expected that few of their former customers would claim o refund, thereby allowing Long Distance to retain toe customer deposits, in oddttion, since toe terms ot toe Sorenson - Long Distance letter of agreement, dated January 27. 1984, provided that Sorenson would accept liability for toe customer deposits, excluding toe interest poyment, fourteen months after the transaction, there Is an economic Incentive tor Long Distance to delov repoylng customer deposits before that dote. Subsequent to the submission ot toe Division's Morch 19, 19$4 memorandum, Long Distance wos asked by Commission staff to propose o mechanism to assure the payment of security deposits to their previous customers. Long Distance responded to the Commission on April 4. 1984 that they wouid commit fifty percent of toe currently pending payment by Sorenson and of future monthly payments to cover toe repayment of deposits to the previous Long Distance customers. However, Long Distance osserts toev have no responsibility ta provide refunds to customers who elect to receive service from Sorenson, even though a customer deposit is not required bv Sorenson to obtain new service. The Commission finds toot Long Distance remains for toe repayment for ail security deposits collected from their customers Irrespective of whether any of these customers, upon transfer of toe customer base, elect ta receive service from Sorenson. Also, toe Commission finds toe provisions tor repayment of security deposits to the Long Distance customers os stated In the Long Distance letter, filed on April 4, 1984. and the Sorenson Long Distance letter of agreement, doted January 24, 1984 to be Inadequate.
