George S. Eccles, president and general manager of First Security Corp., said that terms of the merger call for each shareholder of First Security Investment to receive one share of a new issue of $52.50 convertible preferred stock with a dividend of $3.15, equal to 6 per cent for each five shares of stock exchanged. The new stock is convertible at any time into common stock of First Security Corp. on a basis of 1.35 shares and a conversion price of $38.88 per share. The firm's assets will be absorbed into First Security Corp., and the merger will be completed as soon as a ruling is received from the internal Revenue Service regarding the tax status. The First Security Corp., after the merger, will have not only its present subsidiaries of ,First Security Bank of Utah, First Security Bank of Idaho, First Security Bank of Rock Springs, First Security State Bank.
