To amend Articles IV and V so as to change the length of term of Directors from one year to two years and to provide for alternate elections of two and three directors respectively; defining eligibility of directors; granting special powers to directors as to the obtaining, executing security for and repayment of loans and as to the creating of reserve and surplus funds and the use, investment and distribution thereof; providing for a quorum, for the election and terms of officers, and for an executive committee. 3. To amend Article VI so as to provide that the time, place and manner of calling and holding regular and special membership meetings shall be provided in the 4. To amend Article VIII so as to provide for capital stock, common and preferred, in lieu of membership certificates, and to define the same and to regulate and limit the issuance and retirement thereof, 5. To further amend said Articles of Incorporation by setting forth the manner of determining the property interests of the members, the manner in which such interests may be evidenced and limiting the interest payments thereon to 8 per annum; by defining the fiscal year; by providing (a) eligibility of members, (b) for patronage dividends, with lending (c) for agencies, (d) for books of account and inspection thereof, (e) for branch offices, and (f) for the amendment of the Articles of Incorporation; and by providing against preemptive right of stock subscription.
