Legislators clash on liability bill By MICHAEL WHITE Associated Press Writer SALT LAKE CITY (AF) The House and Senate today were t.r ing to work out a compromise on a bill that would make corporate directors and officers immune to certain charges in lawsuits. In its present form, the bill would require a higher legal standard of proof in lawsuits Hied by disgruntled stockholders. Executives could not be sued for negligence or mismanagement. They still could be sued for gross negligence, intentional mismanagement and other more serious offenses. The bill was assigned to a conference committee after the House amended the bill to remove the protection for corporate officers. The Senate, which had passed the bill earlier, refused to accept the amendment. Rep. Craig Call, K Provo. who led the opposition to the bill, said the compromise probably would consist of the Senate accepting the House proposal to remove officers' protection from the bill. In return, corporate directors would be given protection from charges of gross negligence as well as negligence and mismanagement. Rep. Frank Johnson, House sponsor, said he would go along with the compromise suggested by Call if the Senate agreed. People Poland (AP) -JFonda and her husband, Tom Hayden, met with Solidarity founder Lech Walesa during a private visit to Poland and heard a plea for economic help. Walesa on Monday welcomed President Reagans decision last week to lift remaining U.S. economic sanctions against Poland, Hayden said from the port city of Gdansk, where the couple met with Walesa for two hours. WARSAW, ane Hayden, a Democratic memof the California Legislature, said Walesa appealed for American cooperation to help build up the Polish economy and said, "We all agreed that economic development requires huber man rights." Walesa, contacted by telephone at his Gdansk apartment, declined to comment on the meeting. But a Walesa aide, Bogdan Olszewski, said the talks concerned Solidarity's views on the present situation in Poland and added, "'We have very nice impressions." Critics said the bill, which generated bitter debite in the Senate, would enhanbe Clan's reputation as a haver, tor fraud and white-collcrime.
