The location of all Doles, towers and conduits shall be fixed under the supervision of the City Council, but not so as unreasonably to interfere with the proper operation of said lines. Section 4. The City shall in no way be liable or responsible for any accident or damage that may occur in the construction, operation or maintenance by the Grantee of its lines and appurtenances hereunder, and the acceptance of this franchise shall be deemed an agreement on the part of said Grantee its successors and assigns to indemnify said City and hold it harmless against any and all liability, loss, cost, damage or expense which may accrue to said City by reason of the neglect, default or misconduct of the Grantee in the construction, operation or maintenance of its lines and appurtenances hereunder. Section 5. The Grantee shall file its written acceptance of this franchise with the City Recorder within thirty (30) days after its passage. Section 6. Said portion of the minutes contains a full, true and correct copy of: (a) The application of Utah Power & Light Company for a franchise; and (b) The ordinance as adopted; as said application and ordinance appear of record and on file in my office. 3. Said ordinance has never been amended, altered or repealed, and is now in full force and effect. 4. At the time of the adoption of said ordinance, there were no rules or regulations of the City Council requiring ordinances or franchises to be passed or adopted in any manner or form different from that followed. 5. Within one month after the passage of said ordinance, I caused the same to be published in the Sun Advocate a newspaper published and in general circulation in Price City, Utah. 6. That said ordinance, signed by the Mayor and countersigned by me as Clerk of the City Council, was duly deposited in my office; and, together with the certificate of publication thereof, was recorded by me on pages 108 of the book kept for that 7. On the 25th day of April, 1979, Price was a city duly incorporated under and governed by the general laws of the state of Utah, and the City Council consisted of Walter T. Axelgard, Mayor, and Amel Denison, James L. Jensen, Guido Rachiele, Barney DeVietti and Mark Hanson, absent. 8. On the 1st day of May, 1979 which was within thirty (30) days after the passage of said ordinance, the Grantee, Utah Power & Light Company, filed with me as Clerk of the City Council, its written acceptance of said franchise and all the terms and conditions thereof, and a true copy of said letter of acceptance is attached hereto.
