If the board was acting in good faith and in the best interests of the members, they would officially consult the wishes of the members on the matter before eommit-in- g them to possible legal action. It would appear to us that the president of the board Is guilty of malfeasance due to above actions and other actions of similar nature. It is our sole and only purpose in setting forth the facts, to show the complete lack of responsibility that is manifested in the actionsof the board. The office of director in a cooperative is not One for a figuehead. The courts of law refer to director as trustee, fiduciaries, and to exercise the them require most scrupulous good faith toward the cooperative and its members. The members of the Southern Utah Dairy have the power to exercise control over or replace the Board of Directors when they fail to follow the instructions and wishes of the members. It would eem to us that it is imparitive to the welfare of the cooperative to replace the president and two of the directors. This should be done immediately. In order to place the busi-ess- n on a sound profitable basis it is essential to a sizable loan to finance needed equipment and necessary No loan institution or government agency will consider making such a ab-ta- in loan with the present irresponsible board of directors.. It is absolutely necessary to have a firm, capable board of directors and a well qualified general manager that will function together as a team. THIS IS A MUST! In closing we would like to state that theree is no personal feelings involved on our part any more than there is with a physician who removes a cancerous growth form his patient thereby enabling the patient to have a fighting chance to live.
