Show RAILROAD CONSOLIDATION I The Utah Central Utah Southern and Utah Southern Extension To bs Hade One Line On the return of Hon John Sharp from New York on the trip previous to the present one among other information in-formation communicated by him to a HERALD reporter was that the probabilities pointed strongly to a consolidation of the Utah Central Utah Southern and Utah Southern Extension Railroadsthe trunk lines from Ogden southinto one company The matter was laid before be-fore the stockholders in this territory and the consent of all to the consolidation con-solidation was obtained While Mr Sharp was east the present time the consent of the remaining stockholders stock-holders was obtained and the necessary ne-cessary arrangements completed On Friday the articles of incorporation incorpora-tion were drafted and as they are short and of great public interest we give them below The advantages advan-tages of the consolidation are that the cost of running the railroads will tie materially lessened the road will become of a great deal more importance and in the event of pushing the Utah roads to California Califor-nia there will be but one continuous line which would then make it one of the most important lines in the country Articles of Association of the Utah Central Railway Company Pursuant to an act of the Legislative Legisla-tive Assembly of the Territory of Utah approved February 6th 1876 entitled An Act to amend an act providing for the incorporation of railroad companies and management manage-ment of the affairs thereof approved ap-proved February 19 1869 the Utah Central Railroad Company the Utah Southern Railroad Company and the Utah Southern Railroad Extension three railroad companies formed under un-der the laws of Utah Territory have consolidated their capital stockprop erty and franchise pursuant to cer tain agreements made and entered into by the several boards of directors direc-tors of said companies and the undersigned un-dersigned in accordance with said agreement and the resolution of said boards of directors and by and with the written consent of all the stockholders in said company have adopted and by these presents do adopt the following articles of association as-sociation FirstThe name of the corporation corpora-tion shall be the Utah Central Railway Rail-way Company SecondThis corporation shall continue in existence for a period of fifty 50 years dating from the 1st day of July 1881 ThirdThe amount of the capital stock of the company shall be four million two hundred and tvrcnty five thousand 81225000 dollars which shall be divided into forty two thousand two hundred and fifty 42250 shares of one hundred 100 dollars each FourthThe number of directors to manage the affairs of the company com-pany shall be nine The following are the names of the directors who shall hold their office until others are elected as shall be provided by the laws of the company viz Sidney Sid-ney Dillon of New York John Sharp of Salt Lake City Fred LAmes L-Ames of Boston Mass Frank G Brown of New York City S H H Clark of Omaha Neb William B Doddridge of Evanston Wyo Fer amorz Little of Salt Lake City Wm Jennings of Salt Lake City Jav Gould of New York City Fifth The termini of the Utah Central Railway shall be Ogden and Frisco in Utah Territory passing into and through the following named counties Beginning at Ogden Og-den Weber County thence into and through the southern portion of said county thence through Davis Salt Lake Utah Juab and Millard Counties thence into the County of Beaver to Frisco all of which are in the Territory of Utah and the length of said railroad is two hundred hun-dred and eighty 280 miles as near as may be In testimony whereof we the undersigned un-dersigned presidents of the Utah Central Railroad Company the Utah Southern Railroad Company and the Utah Southern Railroad Extension have hereunto set our hands and the seals of each of said companies have been hereunto affixed by order of the respective boards on this 1st day of AD 1881 |
