sr rantccs their successors or assigns shall ut all times conform to such reasonable ordinances rules and regulations as may be adopted by the City Council of said city In relation to constructing and operating railroads Section tI1hnt Spanish Fork City shall In no way be liable or responsible for any accident acci-dent or damage that may occur In the con structlon or operation of said railroad by reason of the default or misconduct of said grantees their successors or assigns or their employees and tho accepuiuco of this grant shall bo deemed an agreement on the part of said grantees their successors and assigns to hold said city harmless from and against any and all liability loss costs expense or dam I ago for any cunse arising out of any such defaulter misconduct or which may also by I reason of nn accident or injury which may I occur In or by reason of the construction or operation of said railroad and to Indemnify I and repay said cltv for any loss cost expense I damage of any kind it may sustain bv reason of any such default misconduct accident or Injury and It any judgement for damage for any such default misconduct accident or Injury In-jury shall be recovered against said city the recovery thereof shall be final as between said city and the said grantees their succesors or jslgnsund conclusive as to the liability tho alter to the former provided however that the said grantees their successors and assigns sl1llI have had notice writing of the pendency d such action In tlmo to appear and answer he same and nn opportunity afforded them by aid city to join In the defence thereof Section That if this grant with tho terms and conditions herein contained be not cceptcd In writing by said grantees within hlrty days after the notice of the passage of its ordinance or If the preliminary survey of aid railroad be not commenced within six nonths after the passage of this ordinance or Ir the construction of ut least one truck of said railroad be not completed through the city within three years after the acceptance of this rdinance then this grant and franchise shall become null and void provided however that aid grant shall not be forncted for the causes above set forth or for any reason whatever If the said grantees their successors and assigns without their fault shall have prevented hindered hin-dered or delayed In the performance of said
