Wednesday Morning:, April 26,1871. Benefit to the County. The organization of a Stock Herd for this County which Was effected on Saturday last promises tc be of vast bone fit to the community Tbe ranges in Weber have been eate out, in consequence of the immense ffumu ber of animals that havo fed upon them yearly, and oar cows in the ludilber time have had to hunt for their prevefc-dafter being drien long distances to the befd grounds, and when they have coin home at night after doing far more hunting tian feeding, might be appropriately labelled like certain packing-eases on the Railroad, "Returned Empty." By putting all their surplus stock lb the herd, the people in this County will profit doubly. The surplus stock being taken on a rich range will incretee in value, and under judicious Management will bring in a large profit tolhe share-holderAnd tbe absence of tot surplus stock will give milch cows, and tho.-- animals which are needed for home use a chance to get a few more mouthfuls, and the ranges a chance to recover their ormer verdant beauty. We strongly advise all our friends who have animals not absolutely necessary around home, to pfct them with the Cooperative Stock Herd. The greatest wisdom that could be exercised has been brought to bear upon the organization of this Herd, and men have been selected for officers of the as sociution solely in reference to their integrity and acquaintance with the business. To predict success, viewing all the circumstances and prospects requires no wonderful foresight, and there it no doubt among those who understand subject best, that the Weber County Cooperative Stock Herd will be a paying intgitution. Those who bare animals which they want to have herded without investing them as capital stock, cannot do better than lo entrust them to this company. The animals will b 3 safer, will do better, and more satisfaction will accrue every way than by putting them in private dry herds, which many hare found to their sorrow, has not been productive of very great profit. Horses and neat cattle cannot be treated on equal terms in a company of (his kind. They will be received as an in. vestment, but not on equal terms. Horses are more likely to be lost, stolen or subject to disease than horned stock. Special arrangements will be made, therefore, concerning them; and separate accounts be kept that everybody may be treated fairly and reap the profits which are legitimately his. The improvement of our stock, the establishment of dairies, cheese factories, tanneries, shoe shops, harness shops, comb and button shops, etc. etc., are all involved in the success of this Association-- . On Sunday uorning last Elder Henry Naisbitt, of SfcltLake City, sddressed the congregation iu the Ogdeu Tabernacle. The assembly ns not very large W. ia consequence of the inclement weather. Elder Kaiabitt traced the analogy which exists between man's spiritual and physical natures, and showed that Uiere i aa equal necessity for spiritual as natur-i- t ailment; tftat as the body without food Will decay and die, so the spiritual llature of man will wither, and fade and expire, if tbe appointed means for its nourishment are neglected. He related some interesting incidents illustrative of these principles, and delivered a power ful exhortation to those prevent to practice their religioa and lire in Its spirit. In tho afternoon, Elder Naisbilt addressed the school children and their parents od their duller, responsibilities And privileges. He showed tho necessity of cultivating intelligence, morality, Industry, knowledge and religion. Urged the importance of ait understanding of . the organisation and laws of our municipal, territorial and national governments and the relationship we bear to them) the products, resources, geography add geology of our mountain home, our great country and the whole earth itself; the position we occupy in the solar system, our connection with the great universe, and our associations with the fast, present and eternal future. He impressed upon tbe parents the necessity of Hot only speaking but acting the truth to their children that they might grow up truthful; of giving the children something to do, because idleness led to looseness of charaoter and often to criminality; of teaching the little ones the principles of our faith and the older ones the necessity and importance of Carriage. He pictured tho conditioa of society which would be the result of a practical application of these instructions, and eiborfed all present, young and old, to practise righteousness and serve God, that they might enjoy present and eternal happiness. The children of the Third Ward Sunday School sang some hymns in excellent style, keeping good time and the words in a distinct manner, which older singers would do well to knit ate. The meetings wero highly Interesting, and a vote of thanks was nanimously given to Elder Naisbitt, with an invitation to "come again soon." Elder Miles (.run I'm ture. Lec-,.- . On Monday evening Elder Miles Grant delivered a highly interesting discourse hi the Ogden Tabernacle, on the subject ef prophecy. In spite of the high wind hieh was blowing violently from the Sast, there was quite a large attendance, and the closest attention was paid to the gentleman's lecture throughout. Elder Grant commenced by arguing that the falfillmeftt of scriptural prophe-e- y proved the existenco of a Supreme God. If a fallible being predicted future eveuts, ciroumstances might intervene to prevent fulfillment ; the author of these prophecies, fulfilled in after ages, must, therefore, possess not only foreknowledge but supreme control. ' Elder Grant then read from the Book of Daniel and the Book of Revelations, and established the identity of the king, donas represented by the image seen by Mebuchadnetbar, with tho four beasts seen by Daniel ; traced their history in the rise and fall of the Babylonian, Grecian and Roman Empires, the division of the latter into two into ten king-domparts, ewd its shewed clearly that the wemaa of the Apocalypse, sitting u the scarlet colored1 beast was the Cbsrch of Rome, aud that the time had come when the kingdoms that had give a her their support were commencing to destroy her; and declared that the timo wae at hand fir the second advent ef Christ, wh was to setup the kingdonof the laUer days, ooncluding with an exhortation for allte be ready for bis coming. prepare was delivered in a clear, discourse Tbe rational aad eloqment manner, evidencing, tbe speaker's sincerity and earnestness. The subject of the organization of a Stock Herd in Weber County was discussed, and the following gentlemen were appointed a eommittee to draft a Constitution: F. D. Kiebards, L J. Herrick and W. Thomson. Ths meeting was adjourned for one week at which time the committee were requested to report. On Saturday, April 22nd, 1871 the meeting convened again in the Ogden Tabernacle according to the adjournment, Bishop L, J. Herrick presiding, and Geo. W. Turner acting as Secretary. The committee, through President F. D. Richards their chairman, reported a Constitution which was read to the meeting by Mr. C. W. Penrose. ' Ths report was accepted by unanimous vote. Tbe Constitution was then read by sections, and after soma amendments was passed and ordered to be printed in the Ooi'KK JcncTioh. The books were opened for subscriptions to the capital stock, and a large number of shares were taken; after which the following gentlemen were unanimously elected officers of the Association, vit: ROBERT McQUARRIE, President, JOHN O. Some remarks were made by Presi- dent F. P. Richards and the Chairman upon the advantages of this Association both to its members and the public at large. Tbe protts of the Herd, if judiciously managed, would be considerable, and the grass now tued by our surplus stock would, when they were taken away in the Herd, be left fur the benefit of milch cows that had to be kept for family use. Horses as well as neat cattle would be received into the h wd, but would be treated as a separate branch of the business. Stock would be taken to herd from those who did not wish ,to put them in as an investment. It was announced that the Board t Directors would meet on Tuesday next, April 25th, at 2 p.m. at the 2nd District Schoolhouse. 0. W. TURNER, Sec'y. lVcbcr County Mot-It Herd. Tbey shall also have full power to buy all kinds Of stock and other species of property as may be necessary, and also to sell toy property belonging to this Stock Herd by wholesale or retail,- and to establish dairies, cheese factories and other brunches of business on such terms and conditions as they shall deem for the best interest thereof: Provided, that the shares of the capital stack shall cot be sold for less than their par value) and all documents authorized by the board, requiring an acknowledgement and seal, shall be sign ed, sealed and acknowledged by the President, and attested by the Secretary and seal of this Stock Herd. 9th. There shall be held a general of this Comeeting of the on operative Stock Herd the first Mondays of May and November of each year, at such time and place as the Board of Directors may determine, at which meeting the Board of Directors shall furnish and cause to be read a report of the condition of the Stock Herd and its operations, and on the latter day shall make a declaration of dividends. In no case shall more than five (6) per cent of the profits be held by the Stock Herd as a reserve, and all dividends declared shall be paid if required within thirty (30) days after such declaration. 10th. The objects of this Stock Herd are to establish and carry on in Weber county aforesaid, as the chief or general placo of its operations, and at such other places as may be determined ' by the Board of Directors, the business of herding, raising, buying and selling stock iu all their departments. 3d. The Capital Stock of this Stock Herd shall be not to exceed one quarter of a million ($250,000) dollars, and divided into shares of ten ($10) lars eac'a. Said capital stock may be increased as prescribed by law. 4th. The officers of this Stock Herd ehall consist of a President, Board of Directors, Secretary and Treasurer, each of whom shall be a stockholder, and shall give bonds for the faithful performance of their duties, with approved securities to the acceptance of the Probate Judge of Weber Co., and said bonds shall be filed in bis Vice-Preside- office. 5th. The Board of Directors shall consist of nine (9) persons, including the President snd who shall be members of the Board: Provided, that the number of directors may be increased or diminished by a vote of the shares represented at any annual meeting, hereafter provided for, on the first Monday of November. All business brought before the Board for consideration shall be determined by a majority of the whole number, except as provided in paragraph eleven (11), and each member shall be entitled to one vote only. 18th. The Directors shall convene for the transaction of the business of this Stock Herd at the call of the President, or any five of their number, and as they shall adjourn from time to time. 14th. Any officer or director of this Stock Herd may resign his office on giving thirty (30) days notice iu writing, signed by the resigning officer. He shall give such notice to tie President, and file a duplicate thereof in the office of the Secretary: Provided, ih.tt on the resignation of the President, the notice shall be given to the Board of Directors. 16th. In all matters of business transacted in general meetings of the Stock, holders, each person ehall be entitled to one vote for each and every share owned by such person, or held as guardian, ex ecutor, or administrator, and such votes may be given in person or by proxy, through an agent authorized to the acceptance of the Board of Directors. Such votings shall be by ballot or viva voce, as shall prescribe. the 17th. The Secretary shall record the proceedings of all meetings of the stockholders and of the Board, and the record shall at all reasonable times be subject to the inspection of any of the stockholders. He shall have the custody of the common seal of tho Stock Herd and its records, and shall attend to all other duties, whether pres, scribed by this agreement, tbe or required by the President. 18th. And in no case shall the funds of the Stock Herd be appropriated by the Board for purposes other than as hereinbefore stated.
