Samuel Brannan has sued Leland Stanford and others, directors and officers of the Central Pacific Railroad, and He alleges that be other corporations subscribed and paid for two hundred shares in the Central Pacific stock and now owns them. The defendants subscribed and agreed to pay for six hundred and fifty shares, but ho said the stock was issued without consideration and that the defendants were acting illegally. The directors of the Central Pacific issued to themselves and others, large amounts of stock in said corporaHe said tion, without consideration. the directors managed the affairs of the Company for individual benefit, to the detriment of other stockholders. The plaintiff estimates tba various subsidies of the Company at over a hundred and fifty-si- x millions, and he charges that only a part of the same are legitimately expended, the directors wrongfully con vening the remainder to tbeir own use. Ho gives a history of the connection of Wells Fargo, whereby for a consideration for the exclusive contract to carry express packages, bullion, etc., the stock of Wells Fargo is watered, and that a million and a half of watered stock has been delivered by the directors to the He avers that the Railroad Company. Central Pacific purchased the property and assets of the Western and Southern Pacific, San Jose, Alameda and Oakland railroads, and of the Alameda and Oakland ferries. He asks that a receiver be appointed, and that pending the suit the defendants be restrained from disposing of the property of the Company. Benjamin F. Butler is one of the plaintiffs counsel.
