Show the system and will from time to time duly my and discharge or cause to be paid and discharged all taxes, assessments and other Governmental charges, If any, lawfully imposed upon the System or any part thereof or upon the revenues derived therefrom, Including any lawful claims for labor materials or supplies which If unpaid might, by law, become a Hen or charge upon the system or any part thereof or said revenues or which might Impair the security of the bonds except when said Town In good faith contests Its liability to pay the same. (1) The Municipality covenants to the purchasers of the bonds that it will make no use of the proceeds of said Issue of bonds or of the revenues derived from the system at any time during the term of said Issue which, if such use had been reasonably expected on the date the bonds are Issued, would have caused such bonds to be arbitrage bonds within the meaning of Section 103 (d) of the Internal Revenue Code of 1954, as amended, and as Interpreted by the regulations prposed for such purpose by the United states Treasury Department or, after permanent regulations Interpreting such code section are promulgated. In corresponding provisions of such permanent regulations unless, under any valid provision of law now In effect or after enacted, the Interest paid by the Municipality on the bonds: shall be excludable from the gross Income of a (I) recipient thereof for Federal Income tax purposes without regard to whether or not such bonds are arbitrage bonds, or (II) shall be exempt from all Income taxation. Section 11. a Bond Holder shall not be responsible for any liabilities Incurred by the Municipality In the construction or Improvement of the system or for the failure of the system to function successfully when constructed. Section 12. The President and Town Clerk are hereby authorized and directed to execute for and on behalf of the Municipality Form FHA 400-- 1, Equal Opportunity Agreement' to which Is attached and made a part thereof an Equal opportForm FHA 400-- 2, to be Incorporated In or unity Clause, attached as a rider to each construction contract Involving $10,000 or more, and also to execute for and on behalf of the Municipality Form FHA 400-- 4, Agree- ment. Section 13. The Municipality hereby finds, determines and certifies that It Is unable to obtain sufficient credit, except from the Government, at reasonable rates and terms, taking Into consideration prevailing and private corporate rates and terms In or near It for similar purposes and periods of time. The Municipality hereby covenants and agrees with the Government that If at any time while said bonds are held by the Government, It shall appear to the Government that the Municipality may be able to obtain credit from other sources at reasonable rates and terms for loans for similar purposes and periods of time, the Municipality, within the limitations of Its then existing legal powers, and at the Governments request, will make an effort In good faith to pay In full all principal and accrued Interest remaining on the bonds then held by the Government, by Issuing refunding bonds or otherwise. Section 14. The bonds shall not be entitled to any priority one over the other In the application of the net revenues of the System herein pledged, regardless of the time or times of their Issuance, it being the intention of the Municipality that there shall be no priority among the bonds authorized to be Issued pursuant to this ordinance regardless of the fact that they mav be actually Issued and delivered at different times. It Is expressly agreed and covenanted that the Municipality will not hereafter Issue any bonds or obligations payable from the revenues of the system, or any part thereof, or which constitutes a lien on such revenues or on the system until all bonds Issued pursuant to this ordinance have been paid In full unless such additional bonds are Issued In such manner that they are In all respects subordinate to the bonds. The provisions of the foregoing paragraph are subject to the following two exceptions; The bonds or any part thereof may be refunded (1) ( but only with the consent of the registered owners thereof and the holders of any bonds payable to bearer unless such bonds have matured or are then callable for redemption and have been properly so called or will mature or become callable for redemption by their terms within twelve (12) months thereafter). The refunding bonds so Issued shall enjoy a lien on ninety-si- x percent ( 96) of the Net Revenues from the system ( Including any future Improvements, additions and extensions thereto) as It will exist following acquisition and construction of the said Improvements, additions and extensions on a parity with the bonds herein authorized except that If fewer than all of the bonds outstanding at the time are so refunded, no refunding bonds shall bear Interest at a rate higher or mature at a date earlier than the corresponding bond refunded thereby without the consent of the owners and holders of all of the unrefunded bonds, mall other respects refunding bonds may be secured In such manner and may be payable from such sources and be subject to other terms and provisions that may be provided In the Ordinance or resolution authorizing their Issuance. Refunding bonds may be exchanged for not less than alike principal amount of the bonds authorized to be refunded, may be sold or In part or sold in part. If sold, the may be exchanged proceeds of the sale not required for the payment of expenses, and In any event, In an amount sufficient to assure the payment of the bonds refunded when such bonds become available for payment may be escrowed pending payment of the bonds refunded. (2) Additional bonds may be Issued on a parity with the bonds herein authorized If all of the following conditions are met at the time of the Issuance of such additional bonds (herein referred to as Parity Bonds) : percent 96 ) of the Net Revenues of (a) Ninety-si- x System ( Including any future improvements, additions and extensions thereto) as It will exist following acquisition and construction of the said Improvements, additions and extensions In the fiscal year preceding the year In which the Parity Bonds are to be Issued were 120 of the average annual Bond service Requirement on all of the bonds and Parity Bonds then outstanding and the Parity Bonds so proposed to be Issued; provided, this limitation may be waived or modified by the written consent of the registered owners and holders of 75 of the principal amount of the bonds and parity Bonds then outstanding. (b) All payments required by this Ordinance to be made Into the sinking Fund must have been made In full and there must be In the Reserve Account the full amount required by this ordinance to be accumulated therein. The additional bonds must be payable as to (c) principal and Interest monthly. In the manner prescribed In the said single bond, or on January 1, of each year. (d) The proceedings authorizing such additional bonds must raise the amount to which the Reserve Account shall be accumulated to an amount no less than the highest future Bond service Requirement of all bonds and parity Bonds then outstanding and the bonds so proposed to be Issued and must require the accumulation of such amount In the Reserve Account to be accomplished within five (5) years after delivery of such additional bonds. (e) The proceeds of the additional bonds must be used for the making of Improvements, extensions, renewals, replacements or repairs to the system. Section 15. The provisions of tills Ordinance shall constitute a contract between the Municipality and each Bond Holder and after the Issuance of the bonds, no change, variation or alteration of any kind In the provisions of tills ordinance shall be made nor shall the same he repealed until such time as all of the bonds have been paid in full, both as to principal and Interest except as provided In this Section. The holders of one hundred percent ( 100) In principal amount of the Bonds and parity Bonds at any time outstanding ( not Including In any case any Bonds or Parity Bonds which may then be held or owned by or for the account of the Municipality, but Including such refunding bonds as may be Issued as hereinabove provided If such refunding bonds are not owned by the Municipality) shall have the right from time to time to consent to and approve the adoption by the Municipality of an Ordinance or Ordinances modifying or a mend big any of the terms or provisions of this Ordinance, except that this Ordinance may not be so modified or amended In such manner as to: (I) Make any change hi the maturity of any of the Bonds or Parity Bonds. (II) Make any changes In the rate of interest borne by any of the Bonds or Parity Bonds. (III) Reduce the amount of the principal playable on any of the Bonds or Parity Bonds. (lv) Modify the terms of payment of principal and of Interest on the Bonds or Parity Bonds or impose any conditions with respect to such payment not stated In this Ordinance. (v) Affect the rights of the holders of fewer than all of the Bonds or Parity Bonds then outstanding, (vl) Amend this section. Whenever the Municipality shall propose to amend or modify this ordinance under the provision of this section,) It shall cause notice of the proposed amendment to be published one (1) time In a newspaper of general circulation In Salt Lake City, Utah, such notice shall set forth the proposed amendment in full or the substance thereof and shall state that a copy of the proposed amendatory ordinance Is on file In the Filing Office of the Municipality for public Inspection. Whenever at any time within one (1) year from the date of the publication of said notice there shall be filed In the Filing Office of the Municipality an Instrument or Instruments executed by the holders of at least one hundred percent ( 100) hi aggregate principal amount of the bonds and Parity Bonds outstanding, which instrument or instruments shall specifically consent to and approve the adoption of such proposed amendatory ordinance, thereupon, butjKrt otherwise, the Governing Body may adopt said amendatory ordinance and It shall become effective. If the holders of at least one hundred percent (100) In aggregate principal amount of the Bonds and parity bonds then outstanding as In this section defined at the time of the adoption of such amendatory ordinance or the predecessors In title to such holders shall have consented to and approved the adoption thereof, no holder or any bond shall thereafter have any right or Interest to object to the adoption of such amendatory ordinance or to object to any of the terms or provisions therein contained or to the operation thereof or to enjoin or restrain the Municipality from taking any action pursuant to the provisions thereof. Any consent given by the holder of any bond pursuant to the provisions of this section shall be Irrevocable for a period of six (6) months from the date such consent Is filed In the Filing Office of the Municipality as aforesaid and shall be conclusive and binding upon all future holders of the same bond during such period. Such consent may be revoked at any time after six (6) months from the date of the publication of such notice by the holder who gave such consent or by his successor in title by filing notice of such revocation In the Filing Offices of the Municipal lty but such revocation shall not be effective if the holders of one hundred percent ( 100) In aggregate principal amount of the bonds then outstanding as In tills Section defined have, prior to the attempted revocation, consented to and approved the amendatory ordinance. The fact and date of the execution of any Investment under the provisions of this section may be proved by the certificate of any officer In any jurisdiction who, by the laws thereof, is authorized to take acknowledgements of deeds within such Jurisdiction, that the person signing such Instrument acknowledged before him the execution thereof of may be proved by an affidavit of such witness to such execution sworn to before such officer. The amount and numbers of the Bonds and Parity Bonds held by any person executing such Instrument and the date of his holding the same may be proved by a certificate executed on behalf of any responsible bank or trust company showing that on the date therein mentioned such person had on deposit or produced for inspection by said bann or trust company the bonds described In such certificate. Section 16. A certified copy of this Ordinance and every amendatory or supplemental ordinance shall be kept on file in the Filing Office of the Municipality where it shall be made available for Inspection by the Bond Holders or his or their agents, upon payment of the reasonable cost of preparing the same, a certified copy of any amendatory or supplemental ordinance or this ordinance will be furnished to any Bond Holder. The Bond Holders may, by suit, action, mandamus, Injunction or other proceedings, either at law or In equity, enforce or compel performance of all duties and obligations required by this Ordinance to be done or performed by the Municipality. Nothing contained In this ordinance, however, shall be constructed as imposing on the Municipality any duty of obligation or levy any tax either to meet any obligation contained herein or to pay the principal of or Interest on the bonds authorized herein. It Is hereby declared that all parts of this Section 17. Ordinance are severable and that If any section, paragraph, clause or provision of this Ordinance shall, for any reason be held to be Invalid or unenforceable, the validity or unenforceability or such section, paragraph, clause or provision shall not affect any of the remaining provisions of this Ordinance. Section 18. The provisions of this ordinance shall constitute the entire agreement between the Municipality and the Bond Holder with respect to the bonds and the Municipality shall not be bound by any terms, conditions, or provisions in any other resolutions, ordinances, agreements, covenants or understandings between It and any party which are Inconsistent or In conflict herewith, and In particular, any lnconsistant or condated February 7th, flicting provisions on FHA Form 442-All ordinances, resolutions and regulations or parts 1974. thereof heretofore adopted or passed which are In conflict with any of the provisions of this Ordinance are, to the extent of such conflict, herby repealed. Section 19. Immediately after its passage, this Ordinance shall be signed by the President and attested by the Town Clerk shall be recorded In a book kept by the Municipality for that purpose, shall be published one time In the Emery County Progress, a newspaper having general circulation In the Municipality and qualified to carry legal notices. For a period of twenty-on- e (21) days after the publication of this Ordinance, qualified voters of the Municipality may file a petition signed by them requesting that the question of Issuing said bonds for the said purpose be submitted to the voters of the Municipality An election on such question will be held If, within said twnety-one(2day period, such petition is signed by at least fifteen percent (15) of the qualified voters voting for the presiding officer of the Governing Body of the Municipality at the last preceding Municipal election and filed with the Town Clerk. For a period of thirty (30) days after the date of publication of this Ordinance any person In Interest shall have the right to contest the legality of this Ordinance or any bonds which may be authorized hereby, or the provisions made for the security and ayment of any such bonds, and after such time, no one shall have any cause or action to contest the regularity, formality or legality thereof for any cause whatsoever. Section 20. This Ordinance shall take effect at the end of twenty-on- e and (21) days following Its passage, approval publication, unless a petition Is filed as provided for In section 27 1) 19 hereof and an election on the question of the issuance sue;, bonds becomes mandatory.
