DAIRY SALES AGREEMENT FORMS CO-OPERATIVE Bear River Valley Dairymen's Association association with its NOW READY FOR SIGNATURE place of business at first party, and the undersigned Dairyman, second party, agree: 1. The Dairyman is a member of the Association and is helping: to carry out the express aims of the Association for ana marketing, for eliminating speculation and waste and for stabilizing food markets in the interests of the dairymen the public, by this and similar obligations undertaken by other dairymen. 2. The Association agrees to buy, and the Dairyman agrees to sell and deliver to the Association, all the milk, cream or State of Utah, for a period of ten years butter fat produced by, or for, him in the County of... local milk or farm for from The time home, consumption, or for retail distribution to the date hereof. Dairyman may retain consumers; provided, however, that either party of this agreement may withdraw and terminate the same on the first day ot March of any year, by giving written notice thereof. The Association shall give such written notice to the Dairyman and the JanDairyman shall give such written notice to the Secretary of the Association at its office not later than the first day of cotin-ue- s uary preceding; and whenever the Dairyman shall give hi3 nctice of withdrawal and termination of this agreement andsuch dethe delivery of milk, cream or butter fat to the Association for a period of ten days after said first day of March, and the livery shall be deemed and treated as a cancellation of the Dairyman's withdrawal and temination of this agreement same shall remain In full force and effect; provided, further, that the Dairyman shall not have the privilege of terminating this agreement until all stock of the Association subscribed for by him shall have been paid in full. 3. The Dairyman expressly warrants that he has not heretofore contracted to sell, market, consign, or deliver any of his milk, cream, or butter fat to any person, firm, or corporation, except as noted at the end of this contract. Any milk or dairy products covered by such existing contracts shall be excluded from the terms hereof for the period and to the extent noted. 4. Any deduction or allowance, or loss, that the Association may make, or suffer on account of inferior grade, quality, or condition at delivery, shall be charged against the Dairyman individually. 5. The Association may make reasonable rules and regulations and provide inspectors to standardize the quality, methods, and manner of handling and shipping such milk, cream, or butter fat, and the dairyman agrees to observe and perform any such rules and regulations prescribed by the Association and to accept the grading established by the States and Federal authorities and the Association. 6. The Association agrees to resell such milk, cream, or butter fat, or the manufactured therefrom, together with milk, cream, or of like variety and grade, delivered by other dairymen under similiar contracts, at the best prices obtainable under market conditions, and to pay over the net amount received therefrom as payment in full to the dairymen named in contracts generally similar to this agreement, according to the value of the milk or cream delivered by each after deducting therefrom the cost of maintaining the Association and of handling, grading, manufacturing and marketing such and also an amount for creating reserves necessary for working capital to carry on the business milk, cream, or promptly and efficiently and to take care of its reasonable future needs and requirments. 7. The Association shall sell said milk, cream, or manufactured therefrom within, or without the State, at such time and upon such conditions and terms as it may deem fair and advisable, and any proportionate expense connected herewith shall be deemed marketing costs under paragraph six. 8. The Dairyman shall have the right to close his dairy at any time in his free discretion; but, if he produces any milk, cream, or butter fat, or acquires, or owns any interest in any during the term hereof it shall all be included under the terms of this agreement and must be sold only to the Association, except as provided in paragraph two. 9. This agreement shall be binding upon the Dairyman during the period above mentioned as long as he produces milk, cream, or butter fat, directly or indirectly, or has the legal right to exercise ownership, or control of any commercial milk, cream, or butter fat, or any interest therein, or of any dairy cows during the term of this agreement. 10. This agreement is one of a series generally similar in terms, comprising with all such agreements, signed by individual dairymen, one single contract between the Association and the said Dairymen, mutually and individually obligated under all the terms thereof. The Association shall be deemed to be acting in its own name for all such Dairymen in any action or legal proceeding on, or arising out of this agreement. 11 If the Association brings any action whatever by reason of a breach thereof, the Dairyman agrees to pay to the Association all costs of Court, costs for bonds and otherwise, expenses of travel and all expenses arising out of or caused by the litigation and a reasonable attornev's fee expended or caused by litigation and any other reasonable attorney's fee expended, marketed by him, or for him, other than in accordance with the expenses shall be included in the judgment and shall be entitled to the benefit of any lien securing any payment hereunder. 12 Inasmuch as the remedy of law would be inadequate and inasmuch as it is now and ever will be impractical and extremely difficult to determine the actual damages resulting to the Association should the Dairyman fail so to sell all of his milk, or cream, the Dairyman hereby agrees to pay to the Association for all dairy products delivered, sold, consigned, or marketed by him, or for him, other than in accordance with the terms of this agreement, the sum of ten cents a pound butter fat as liquidated damages for breach of contract, all parties agreeing that this contract is one of a series dependent for its true value upon the adherence of each and all of the contracting parties to each and all of the said contracts. 13. The Dairyman agrees that, in the event of a breach by him of the provisions hereof regarding the delivery of milk, cream or butterfat, the Association shall be entitled to an injunction to prevent further breach hereof, a decree for specific performance hereof; and the parties agree that there are no oral or other conditions, promises, covenants, representations, or inducements, in 'addition to or at variance with any of the terms hereof, and that this agreement represents the voluntary and clear understanding fully and completely. 14. This agreement shall not become effective until contracts similar to this have been signed which, in the aggregate, will represent 1000 cows, and until notice thereof has been mailed to the dairyman. ASSOCIATION By: (President) NOTE: Subscription Agreement To DONT FREEZE In furtherance of the aims of the Bear River Valley Dairymen's Association, a marketing association, for handling of dairy products, and in consideration of the subscription of other persons, the undersigned, hereinafter called the subscriber, hereby subscribes for and agrees to purchase from said Association at par, One Dollar per share, one share of the common stock of said Association and also agrees to purchase from said Association at par, Ten Dollars per share, 1. shares of the preferred stock of said Association and also agrees to pay a membership fee of two dollars. This subscription is based upon the number of cows owned or handled by the subscriber, at the rate of one share of preferred stock for each two cows. 2. Before any share of common stock here subscribed for can be issued to the subscriber, he shall have signed the standard marketing agreement of the Bear River Valley Dairymen's Association. 3. The subscriber agrees to pay for said shares at the time this subscription agreement is signed, or at his option in twenty equal installments, for each share of stock subscribed, provided, however, that if the subscriber elects to pay for such stock in installments, he hereby authorizes the Association to deduct each month from the amount due the subscriber from said Association a sum equal to 25 cents for each cow signed op by the subscriber with said Association; said deduction to be applied on the purchase price of said common and preferred capital stock and to continue until said stock is fully paid for Such deduction shall be applied first toward the payment of said membership fee and next to the payment of said common stock. Such preferred stock shall not bear interest until fully paid for, and none of the capital stock herein subscribed for shall be delivered until fully paid for. 4. Bear River Valley Dairymen's Association is a marketing association organized under the Agricultural Association Act of the State of Utah, with a capial stock of $40,000.00 consisting of 2,000 shares of common stock of the par value of one dollar per share, and 3,800 shares of preferred stock of the par value of $10.00 per share. 5. The undersigned agrees that he be bound by the Articles of Association, and Standard Marketing Agreement of the Association, and that he understands and approves them, and accepts them as binding upon him in all their terms. 6. In case the subscriber shall cease producing dairy products for a period of six consecutive months, then he may at his option, by giving written notice of such intention to the Secretary or Manager of the Association, discontinue his payments upon said preferred stock; and thereupon the amount he has theretofore paid upon the purchase price of said preferred shall be repaid to him by the Association at the same time and in the same manner as payments may be made for otherstock y stock retired by said Association.
